WHEREAS, Client purchased or received certain goods from Vendor that Client intends to return to Vendor under the terms set forth in this Return Intent Form; and

Risk of loss during transit shall be borne by the party identified above unless otherwise agreed in writing. Title and risk allocation for returned goods shall be determined in accordance with the parties' underlying purchase terms and this document.

INSPECTION, ACCEPTANCE, AND RESTOCKING

Vendor shall inspect returned goods within days of receipt. If Vendor rejects or identifies nonconforming condition after inspection, Vendor shall notify Client in writing with supporting facts and proposed disposition.

PAYMENT TERMS

Late payment on any amounts due under this Return Intent Form shall accrue interest at until paid. Interest shall be calculated on the unpaid balance.

GOVERNING LAW

This Return Intent Form shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles.

ENTIRE AGREEMENT
