The Company will inspect, process and, where authorized below, repair, replace, or refund the returned merchandise in accordance with the description provided by Customer and the Company’s inspection results. Customer authorizes Company to take necessary steps to validate the claim and to perform the actions selected in the Requested Resolution section.

Termination Conditions: Company may revoke authorization if returned merchandise is outside of the condition stated above or if Customer fails to comply with shipping, packing, or RMA procedures. Customer may cancel the request provided Company has not already processed the inspection.

Confidentiality

The parties agree that any non-public technical, commercial, or financial information exchanged in connection with this RMA shall be treated as Confidential Information. Confidential Information shall not be disclosed to third parties except as required by law or as necessary to effectuate the inspection, repair or replacement of the merchandise. This obligation survives termination of this authorization for a period of two years.

Liability and Warranties

Company’s liability for any returned merchandise shall be limited to the lesser of the original purchase price of the merchandise or the costs to repair or replace the merchandise. Company makes no additional warranties beyond any express warranties provided at time of sale. Customer is responsible for adequately packaging and insuring returns until receipt by Company.

Governing Law

This Authorization and any disputes arising from it shall be governed by the laws of the state or jurisdiction where Company is organized, without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for resolution of disputes.

Entire Agreement

This RMA Form, together with any attachments and purchase documentation referenced herein, constitutes the entire agreement between the parties with respect to the return of the merchandise and supersedes all prior representations and agreements, whether written or oral.
