Seller will issue any refund or credit in accordance with the disposition above. Refunds subject to restocking fee noted above and will be processed within calendar days of authorization. Credits will be applied to Buyer's account; repairs or replacements will be shipped per Seller's standard lead times.

If Buyer fails to return goods in accordance with the authorized return instructions, Seller may assess a handling charge or decline credit. Where applicable, refunds will be net of agreed restocking fees and any unreimbursed shipping or handling costs.

Term, Termination & Acceptance

This Report documents the parties' agreement regarding the returned goods identified herein. Acceptance of disposition by Buyer shall be deemed upon execution of the signature block below or upon Buyer's receipt of the agreed refund/credit. Either party may terminate further return obligations with prior written notice where required by contract; obligations relating to this Report survive termination to the extent necessary to effect refunds, credits or repairs.

Confidentiality

The parties acknowledge that the terms of this Report, inspection findings and any pricing or remedial information constitute confidential business information. Neither party shall disclose such information to third parties except as required by law or with the prior written consent of the other party.

This Report shall be governed by the laws of the state specified by Seller at the time of sale, without regard to conflict of law principles. This Report, together with any incorporated return authorization and the original sales documentation, constitutes the entire understanding between the parties with respect to the returned goods and supersedes any prior oral or written communications on the subject.
