Upon termination, Client remains obligated to pay for services performed and reasonable costs incurred through the effective date of termination.

Confidentiality

The Verifier agrees to treat all Client financial information obtained under this request as Confidential Information and shall not disclose such information except: (a) with the Client's prior written consent; (b) to persons within the Verifier's organization on a need-to-know basis for the performance of the verification; or (c) as required by operation of law, provided that the Verifier provides the Client prompt notice of any compelled disclosure when permitted.

The Verifier shall implement reasonable administrative, technical, and physical safeguards to protect Confidential Information and shall destroy or return such information to the Client promptly upon completion of the services unless retention is required by professional standards or law.

Representations; Indemnity; Limitation of Liability

The Client represents that it has the authority to request the verification and to authorize release of records necessary to perform the services. Each party shall indemnify the other for claims arising from its gross negligence or willful misconduct. Except as expressly provided by applicable law, the Verifier's aggregate liability for any claim arising from this engagement shall be limited to the total fees paid by the Client to the Verifier under this request.

Governing Law

This Request and any dispute arising under it shall be governed by the laws of the State of without regard to conflict-of-law principles.

Entire Agreement

This form, together with any attachments and the Verifier's written acceptance, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, agreements, and understandings, whether written or oral.

Authorization and Certification

By signing below, the Requesting Party certifies that the information provided in support of this request is true, complete, and accurate to the best of its knowledge, and authorizes the Verifier to obtain and review the documents and records necessary to complete the revenue verification. The Requesting Party also authorizes third parties identified in attachments to release information to the Verifier for this purpose.
