What a Review Panelist Agreement Is and When It Applies

A Review Panelist Agreement is a written contract between an organization and an individual who serves on a review panel for proposals, applications, peer review, grant evaluations, or similar selection processes. The agreement defines the panelist's duties, confidentiality obligations, conflict-of-interest rules, compensation or honoraria (if any), deliverables, and the effective period. It also clarifies ownership of review materials, permitted use of confidential information, and procedures for recusal. Organizations commonly use this agreement to reduce legal risk, standardize expectations across reviewers, and create a record suitable for audit and compliance purposes.

Why this Agreement Matters for Organizations and Panelists

A clear Review Panelist Agreement sets responsibilities, protects confidential materials, and documents conflict-of-interest controls. It helps organizations meet compliance needs and supports defensible decision-making when selections are disputed.

Why this Agreement Matters for Organizations and Panelists

Who Typically Uses a Review Panelist Agreement

Organizations that use this agreement include grantmakers, academic journals, research institutions, government procurement offices, and professional associations.

Panelists, administrative staff, legal counsel, and compliance officers all rely on the agreement to align process, disclosure, and recordkeeping practices.

Digital Signing and Platform Considerations

Choose a signing platform that provides a clear audit trail, signer authentication options, and secure storage.

  • Authentication: Email or SMS OTP; stronger KBA optional
  • Audit Trail: Timestamp, IP, and action log
  • File Formats: PDF or DOCX supported

Integrations with systems like Salesforce, NetSuite, Google Workspace, and cloud storage services reduce manual filing; ensure the provider supports HIPAA or other required compliance if confidential health or regulated data are included.

Date Signed: MM/DD/YYYY format
Affiliation: Institution or employer
Conflict Disclosure: Yes/No; details if yes

Common Mistakes to Avoid When Preparing the Agreement

  • Failing to require a completed W-9 before payment, which delays compensation and withholding obligations.
  • Leaving conflict-of-interest fields optional or vague, creating inconsistent disclosures and audit vulnerabilities.
  • Using ambiguous confidentiality language that does not specify duration or permitted exceptions for audit or legal disclosure.
  • Not documenting authentication or eSignature attribution, which weakens enforceability in disputes.

Key Risks and Potential Consequences of an Incorrect Agreement

Payment Delays: Missing tax forms cause holdbacks
Conflict Exposure: Undisclosed ties can void decisions
Breach of Confidentiality: Legal claims or reputational harm
Enforceability Challenges: Weak attribution undermines signatures
Regulatory Noncompliance: HIPAA or procurement violations
Audit Findings: Records may be insufficient for review
