What the Revised ALTA Settlement Agreement Is

The Revised ALTA Settlement Agreement is a standardized, lender-focused closing statement used in residential and commercial real estate closings to allocate settlement costs, record title insurance responsibilities, and document payoffs and escrows. It updates the American Land Title Association's prior form to reflect current industry practices, streamline closing workflows, and improve transparency among buyer, seller, lender, and closing agent. The agreement typically accompanies title commitments and closing disclosures and serves as the final itemization of charges that parties must review and approve before fund disbursement.

Why the Revised ALTA Settlement Agreement Matters

A Revised ALTA Settlement Agreement clarifies who pays which closing costs, reduces post-closing disputes, and provides a consistent record for lenders and title insurers. It supports accurate escrow accounting and simplifies audit and compliance reviews.

Why the Revised ALTA Settlement Agreement Matters

Who Commonly Uses This Agreement

Typical users include lenders, title companies, closing attorneys, escrow agents, and real estate attorneys involved in purchase and refinance transactions.

  • Lenders and mortgage servicers managing payoff and escrow allocations during closing.
  • Title insurance companies documenting liability, premium, and post-closing obligations accurately.
  • Buyers, sellers, and closing attorneys verifying final charge allocations and signatures.

The form is used at or before closing and retained as part of the closing package for audits and title insurance evidence.

  • Failing to verify payoff amounts or lien releases can result in shortfalls at disbursement and subsequent claims against the closing agent or seller.
  • Missing or incorrect prorations for taxes, HOA fees, and utilities creates post-closing reconciliation disputes and may trigger penalty assessments.
  • Omitting notarization or witness details where state law requires them invalidates signatures and may require re-execution and costly delays.

Penalties and Practical Risks of Errors

Recording Delay: Could delay title transfer and funding
Funding Shortfall: Seller or lender may be short
Title Claim Exposure: Risk of insured claim or dispute
Tax Misstatement: Incorrect prorations affect tax reporting
Notary Noncompliance: May require re-signing or invalidate form
Audit Findings: Underwriter or lender may require corrections

Best Practices to Reduce Closing Risk and Delay

Follow these best practices to reduce errors, satisfy lender requirements, and accelerate funding when using the Revised ALTA Settlement Agreement.

Verify Party Names and Authority
Always match party names to government IDs, recorded deeds, and corporate formation documents. For entities, confirm signing authority with resolutions or officer certificates and attach evidence to the closing file to prevent post-closing challenges.
Confirm Payoff Figures and Lien Releases
Obtain written payoff statements with effective dates and include certified lien releases for subordinate liens. Cross-check figures with servicers and require payoffs be current on disbursement day to avoid funding shortfalls and indemnity claims.
Use Clear Legal Descriptions and Parcel IDs
Enter the recorded legal description and parcel or tax ID to ensure accurate recording. Avoid informal addresses alone; mismatched descriptions can delay county recording and complicate title insurance obligations.
Retain Audit Trail and Signed Copies
Keep the complete audit trail, timestamped signed PDF, and any authentication logs. These records support ESIGN and UETA compliance and are crucial evidence for underwriting, audits, or resolving later disputes about the execution or content.
