Except as expressly modified by this Revision, all other terms and conditions of the Original OTP remain in full force and effect. In the event of any conflict between the terms of this Revision and the Original OTP, the terms of this Revision shall control.

Each party represents and warrants that it has full authority to enter into this Revision, that the individual executing this Revision on its behalf is duly authorized, and that this Revision constitutes a valid and binding obligation enforceable against such party in accordance with its terms.

GOVERNING LAW
