REWARD PROGRAM AGREEMENT

This Reward Program Agreement (the Agreement) is entered into as of Effective Date: by and between Company Name: and Participant Name: .

RECITALS

WHEREAS, Company administers a rewards program under which eligible participants may accrue and redeem rewards based on defined activity and purchases (the Program); and

WHEREAS, Participant desires to enroll in and participate in the Program under the terms and conditions set forth in this Agreement, and Company desires to provide such benefits subject to the terms herein; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows.

SCOPE OF WORK

Company shall operate and maintain the Program described below. Company will provide Program administration, tracking of Participant activity, issuance of rewards, and customer support as described in the Scope of Work.

PROGRAM TERMS

Eligibility: Participant represents and warrants that Participant meets all eligibility requirements established by Company and will provide truthful information during enrollment.

PAYMENT TERMS

In consideration for Program services provided by Company, Participant (or Participant's designee where applicable) shall pay Company as set forth below.

All payments are due in U.S. dollars. Participant will remit payments according to the schedule above. If Participant fails to make timely payment, Company may suspend Participant's accrual or redemption privileges until amounts are paid in full.

TERM AND TERMINATION

Term: This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated pursuant to this Section.

Termination for Cause: Either party may terminate this Agreement immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within fifteen (15) days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each party shall keep confidential all non-public information disclosed by the other party that is identified as confidential or that, by its nature, should be reasonably understood to be confidential ("Confidential Information"). Confidential Information shall not include information that is (i) publicly known through no fault of the receiving party, (ii) rightfully received from a third party without restriction, or (iii) independently developed without use of or reference to the disclosing party's Confidential Information.

The receiving party shall use Confidential Information only to perform its obligations under this Agreement and shall not disclose such Confidential Information to any third party except to employees, contractors or agents who have a need to know and who are bound by confidentiality obligations no less restrictive than those herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

MISCELLANEOUS

Entire Agreement: This Agreement constitutes the entire agreement between the parties with respect to the Program and supersedes all prior and contemporaneous agreements, proposals, or communications, whether written or oral, relating to the Program. Any amendment must be in writing and signed by both parties.

Assignment: Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Company may assign its rights to an affiliate or in connection with a merger or sale of substantially all its assets.

Execution in Counterparts: This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Electronic signatures or facsimile copies of signatures shall be treated as originals for all purposes.
