REWORK AGREEMENT

This Rework Agreement (the "Agreement") is entered into by and between the parties identified below for the rework, correction, or modification of previously delivered work products in accordance with the terms set forth herein.

Recitals

WHEREAS, Client and Contractor previously entered into an agreement or transaction under which Contractor delivered certain work products or services to Client; and

WHEREAS, Client has identified defects, deficiencies, or changes that require rework, correction, or modification of the delivered work products; and

WHEREAS, the parties desire to set forth the scope, schedule, compensation, and other terms applicable to such rework to avoid disputes and facilitate timely completion.

Scope of Work

Deliverables shall include all modifications, revisions, and supporting materials reasonably necessary to bring the affected work products into compliance with the specifications identified by Client. Contractor shall perform the rework in a professional manner consistent with industry standards and in accordance with the schedule set forth below.

Payment Terms

Contractor shall submit invoices to Client upon completion of the applicable milestone or monthly, as agreed. Payment is due within days of receipt of an undisputed invoice.

Overdue amounts shall bear interest at the lesser of per month or the maximum rate permitted by law. In addition, Client shall reimburse Contractor for reasonable collection costs, including attorney fees, incurred to collect past-due amounts.

Term and Termination

This Agreement shall commence on the Effective Date and shall continue until the completion of the rework and acceptance by Client or until earlier terminated in accordance with this Section. Start Date: End Date:

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Either party may also terminate for convenience upon days' prior written notice to the other party. Upon termination, Client shall pay Contractor for work performed and reasonable costs incurred through the effective date of termination, subject to any setoffs for breach.

Confidentiality

"Confidential Information" means non-public business, technical, financial or other information disclosed by one party to the other, whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential. Each recipient shall (a) protect Confidential Information of the discloser with the same degree of care it uses to protect its own confidential information, but no less than reasonable care; (b) use Confidential Information solely for the purposes of performing obligations under this Agreement; and (c) not disclose Confidential Information to any third party except to those employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. Obligations of confidentiality do not apply to information that is (i) already known to the recipient without restriction; (ii) publicly available other than by breach of this Agreement; (iii) rightfully received from a third party without restriction; or (iv) independently developed without use of the discloser's Confidential Information. Each party agrees that monetary damages would be inadequate to remedy a breach and that injunctive relief is appropriate in addition to other remedies.

Representations; Warranties; Indemnity

Each party represents that it has the full power and authority to enter into this Agreement. Contractor represents that the rework will be performed in a professional and workmanlike manner and, to the extent applicable, will conform to the accepted specifications and deliverables set forth in the Scope of Work. Contractor shall indemnify and hold Client harmless from third-party claims arising from Contractor's negligent performance of the rework, subject to customary limitations.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

Entire Agreement; Amendments

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written. Any amendment or modification of this Agreement must be in writing and executed by authorized representatives of both parties.

Remedies; Limitation of Liability

Except for breaches of confidentiality or willful misconduct, each party's liability arising out of or related to this Agreement shall be limited to direct damages up to the total amount paid or payable to Contractor under this Agreement. In no event shall either party be liable for consequential, special, incidental, or punitive damages.

Notices

Notices shall be in writing and delivered by hand, nationally recognized overnight carrier, or certified mail, return receipt requested, to the addresses set forth above or such other addresses as either party may designate by notice in accordance with this Section.

Dispute Resolution

The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If the parties cannot resolve the dispute within thirty (30) days, the dispute shall be resolved by binding arbitration in accordance with the arbitration rules agreed by the parties, and judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.
