Confidential Information does not include information that is: (a) already in the public domain through no breach of this obligation; (b) lawfully received from a third party without restriction; or (c) independently developed by the receiving party without use of the disclosing party's Confidential Information. Proposer agrees to return or destroy Confidential Information upon Client's written request.

Governing Law

This Response and any resulting contract shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. Any dispute under any resulting contract will be resolved in the courts located in that State unless the parties agree otherwise in writing.

Entire Agreement

This Response, together with the RFP, its attachments, and any negotiated exhibits expressly incorporated in a resulting contract, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior proposals, negotiations, and communications, whether oral or written.
