RIDER RENEWAL AGREEMENT

This Rider Renewal Agreement (the "Rider") is entered into as of Effective Date: by and between Party A Name: and Party B Name: .

RECITALS

WHEREAS, the parties entered into a primary agreement titled: dated (the "Original Agreement"); and

WHEREAS, the parties desire to renew and amend certain terms of the Original Agreement by way of this Rider to extend the term and to set revised payment and confidentiality obligations for the Renewal Term described below.

WHEREAS, capitalized terms not otherwise defined in this Rider shall have the meanings ascribed to them in the Original Agreement.

SCOPE OF WORK

The services, deliverables and specific obligations to be performed during the Renewal Term are set forth below. This Rider supplements and amends the Scope of Work of the Original Agreement only as expressly stated herein.

PAYMENT TERMS

As consideration for the obligations set forth in this Rider, the parties agree to the following payment terms, which supersede any conflicting payment provisions in the Original Agreement for the Renewal Term.

All payments shall be made in lawful currency of the United States unless otherwise agreed in writing. If payments are to be made by wire transfer, check, or other method, the submitting party shall provide remittance instructions in writing.

TERM AND TERMINATION

The Renewal Term shall commence on and shall expire on , unless earlier terminated in accordance with this Rider.

Either party may terminate this Rider for convenience upon providing written notice no fewer than days prior to the intended termination date. Termination for cause shall follow the procedures set forth in the Original Agreement, provided that a material breach relating to the subject matter of this Rider that remains uncured for a period of thirty (30) days following written notice shall permit the non-breaching party to terminate immediately.

CONFIDENTIALITY

Each party acknowledges that during the Renewal Term it may receive Confidential Information of the other party. "Confidential Information" means non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information. The receiving party shall (i) hold such Confidential Information in strict confidence using no less than the same degree of care it uses to protect its own confidential information, (ii) use Confidential Information solely to perform its obligations under the Original Agreement and this Rider, and (iii) not disclose Confidential Information to any third party except with the prior written consent of the disclosing party or as required by applicable law.

The foregoing obligations shall survive termination of this Rider for a period of three (3) years, except for trade secrets and other information entitled to greater protection under applicable law, which shall remain protected for as long as permitted by law.

NOTICES

All notices, requests, consents and other communications required or permitted under this Rider shall be in writing and addressed to the parties at the addresses set forth below and shall be deemed given when delivered personally, sent by certified mail (return receipt requested), or sent by nationally recognized overnight courier.

GOVERNING LAW

This Rider shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in that State for any dispute arising under this Rider.

ENTIRE AGREEMENT

This Rider, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings of the parties, whether written or oral, relating to such subject matter. Except as expressly modified by this Rider, all terms and conditions of the Original Agreement shall remain in full force and effect.

No amendment, modification or waiver of any provision of this Rider shall be effective unless in writing and signed by both parties.
