RIGHTS ASSIGNMENT AGREEMENT

This Rights Assignment Agreement (the "Agreement") is made as of the day of , by and between Assignor Name: , with principal address at ("Assignor"), and Assignee Name: , with principal address at ("Assignee").

RECITALS

WHEREAS, Assignor is the sole and exclusive owner of certain intellectual property and other rights described below and has the right to transfer and assign such rights;

WHEREAS, Assignor desires to assign and transfer to Assignee, and Assignee desires to accept, all right, title and interest in and to the Assigned Rights (as defined herein), subject to the terms and conditions set forth in this Agreement;

WHEREAS, the parties intend that the assignment be absolute, perpetual and irrevocable to the fullest extent permitted by applicable law.

NOW, THEREFORE

In consideration of the mutual covenants and other valuable consideration set forth herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Assigned Rights" means all right, title and interest owned or controlled by Assignor in and to the subject matter described in Section 2, including but not limited to copyrights, moral rights, patents, trademarks, trade dress, know-how, and any registrations, applications, renewals, extensions and causes of action relating thereto.

1.2 "Effective Date" means the date set forth above.

2. ASSIGNMENT

2.1 Assignment. Assignor hereby irrevocably assigns, conveys and transfers to Assignee all of Assignor's right, title and interest in and to the Assigned Rights, to have and to hold forever, throughout the universe, in perpetuity, free and clear of all liens, encumbrances and restrictions except as expressly stated in this Agreement.

2.2 Scope of Assigned Rights. The specific subject matter and scope of the Assigned Rights are described as follows:

2.3 Additional Instruments. Assignor shall execute and deliver such further documents and do such further acts as may be reasonably necessary to confirm, record, effect or perfect this assignment and to enable Assignee to exercise the Assigned Rights.

3. CONSIDERATION

3.1 Consideration. In full and final consideration for the assignment of the Assigned Rights, Assignee shall pay Assignor the sum of USD, payable in accordance with the payment terms below.

4. REPRESENTATIONS AND WARRANTIES

4.1 Assignor represents and warrants that: (a) Assignor is the sole legal and beneficial owner of the Assigned Rights and has full right and authority to enter into this Agreement and to make the assignments herein; (b) to Assignor's knowledge, the Assigned Rights are not subject to any liens, licenses, encumbrances, restrictions or claims by third parties other than those disclosed in writing to Assignee; (c) there are no pending or, to Assignor's knowledge, threatened actions, suits, claims or proceedings affecting the Assigned Rights that have not been disclosed in writing.

4.2 Assignee represents and warrants that it has full power and authority to enter into this Agreement and perform its obligations hereunder and that the execution and delivery of this Agreement have been duly authorized by all necessary action.

5. INDEMNIFICATION

5.1 Assignor Indemnity. Assignor shall indemnify, defend and hold harmless Assignee, its officers, directors, agents and permitted successors and assigns from and against any and all losses, damages, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or resulting from any breach of Assignor's representations, warranties or covenants herein or any claim that the Assigned Rights are subject to a lien, encumbrance or third party right.

5.2 Assignee Indemnity. Assignee shall indemnify, defend and hold harmless Assignor against claims arising from Assignee's use or commercialization of the Assigned Rights after the Effective Date, except to the extent such claim arises from a breach of Assignor's representations and warranties.

6. CONFIDENTIALITY

Each party shall maintain in confidence the terms of this Agreement and any non-public information disclosed in connection with the negotiation or performance of this Agreement, and shall not disclose such information except as required by law or with the prior written consent of the other party.

7. FURTHER ASSURANCES

Assignor agrees, at Assignee's expense, to execute and deliver such instruments and to take such further actions as may be reasonably necessary or desirable to effectuate the purposes of this Agreement and to vest in Assignee the full benefits of the Assigned Rights.

8. LIMITATION OF LIABILITY

EXCEPT FOR A PARTY'S INDEMNIFICATION OBLIGATIONS OR WILLFUL MISCONDUCT, IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT, EVEN IF THE PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. NOTICES

All notices under this Agreement shall be in writing and shall be delivered by personal delivery, nationally recognized overnight courier, or certified mail (return receipt requested) to the addresses set forth below or to such other address as a party may designate by notice in accordance with this Section. Notices shall be effective upon receipt.

10. ASSIGNMENT AND BINDING EFFECT; SUCCESSORS

This Agreement shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns. Assignee may assign its rights and obligations hereunder without the consent of Assignor; Assignor may not assign its obligations under this Agreement without Assignee's prior written consent, except to a successor by merger or sale of substantially all of Assignor's assets.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction specified below without regard to its conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising out of or relating to this Agreement.

12. ENTIRE AGREEMENT; AMENDMENT; WAIVER

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations. No amendment or waiver of any provision shall be effective unless in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right.

13. SEVERABILITY

If any provision of this Agreement is held to be invalid or unenforceable in whole or in part, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall remain in full force and effect.

14. COUNTERPARTS

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument. Facsimile or electronic signatures shall be deemed binding for all purposes.

15. MISCELLANEOUS

The headings in this Agreement are for convenience only and shall not affect the interpretation of any provision. References to "including" shall be deemed to mean "including without limitation."
