Rights Modification Agreement

This Rights Modification Agreement (the "Agreement") is made effective as of by and between ("Party A") and ("Party B").

WHEREAS

WHEREAS, the Parties entered into a written agreement titled dated (the "Original Agreement"); and

WHEREAS, the Parties desire to modify certain rights and obligations under the Original Agreement as set forth in this Agreement in consideration of the mutual promises herein.

MODIFICATION OF RIGHTS

1. Modification. Effective as of the Effective Date, the Parties agree that the following rights, licenses, and restrictions in the Original Agreement are amended as set forth below. Any term not specifically amended remains in full force and effect.

SCOPE OF WORK

The Parties shall perform obligations as described below in reliance on the modified rights set forth above. The Scope of Work below supersedes any conflicting descriptions in the Original Agreement to the extent of such conflict.

As consideration for the modifications and the performance of obligations under this Agreement, Party shall pay Party .

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either Party may terminate this Agreement for convenience upon days' prior written notice to the other Party. Termination for material breach shall be effective upon written notice if the breaching Party fails to cure within days after receipt of written notice specifying the breach.

CONFIDENTIALITY

Each Party agrees that all non-public information disclosed in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information") shall be held in strict confidence and shall not be disclosed to third parties except as permitted by this Agreement.

Confidential Information does not include information that: (a) is or becomes publicly available without breach of this Agreement; (b) is known to the receiving Party at the time of disclosure as demonstrated by written records; or (c) is independently developed by the receiving Party without use of the disclosing Party's Confidential Information.

REPRESENTATIONS AND WARRANTIES

Each Party represents and warrants that it has full right, power and authority to enter into this Agreement and to perform its obligations hereunder, that the execution and performance of this Agreement will not violate any other agreement to which it is a party, and that it will comply with applicable laws in performing its obligations.

INDEMNIFICATION

Each Party shall indemnify, defend and hold harmless the other Party from and against any third-party claims, liabilities, damages, losses and expenses arising out of the indemnifying Party's breach of this Agreement, negligence, willful misconduct, or infringement of a third party's intellectual property rights arising from the modifications set forth herein.

NOTICES

All notices under this Agreement must be in writing and delivered to the addresses set forth below or to such other address as a Party may designate by written notice in accordance with this section.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The Parties agree to attempt in good faith to resolve disputes informally prior to initiating legal action.

ENTIRE AGREEMENT

This Agreement, together with the Original Agreement as modified hereby, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether written or oral, relating to the subject matter.

MISCELLANEOUS

Any amendment to this Agreement must be in writing and signed by authorized representatives of both Parties. If any provision is held invalid, the remaining provisions shall continue in full force and effect.
