WHEREAS, the parties desire to define responsibilities, deliverables, timelines and payment terms associated with the identification, analysis, mitigation and monitoring of risks that may affect the Project.

WHEREAS, Consultant will provide professional services consistent with accepted industry standards and the specifications set forth in this Risk Management Plan Template.

Definitions

For purposes of this Plan, "Risk" means any event or condition that, if it occurs, has a negative impact on scope, schedule, cost or quality. "Likelihood" and "Impact" are measured using the scales described in the Risk Analysis section below.

Scope of Work

Risk Identification

Risk categories to be evaluated include, but are not limited to: technical, operational, financial, legal/regulatory, environmental and reputational risks. Identify initial known risks and the method of ongoing identification (workshops, interviews, audits).

Risk Analysis

Each identified risk will be assessed for Likelihood (Rare, Unlikely, Possible, Likely, Almost Certain) and Impact (Negligible, Minor, Moderate, Major, Severe). The combination of Likelihood and Impact will determine priority and required actions.

Risk Mitigation and Response

For each risk, the parties will agree on mitigation measures, contingency plans, and monitoring actions. Mitigation may include avoidance, reduction, transfer or acceptance of risk.

Roles and Responsibilities

Reporting and Monitoring

Consultant shall provide risk status reports at intervals agreed below and update the risk register after each review. Reports will include newly identified risks, changes to existing risks, mitigation effectiveness, and recommended actions.

Payment Terms

Compensation for services described in this Plan shall be as set forth below. Invoices submitted by Consultant are payable within the payment period and may be disputed only in good faith with written notice within the dispute period.

Term and Termination

This Plan commences on Start Date: and terminates on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Plan for material breach if the breaching party fails to cure within the notice period. Upon termination, Consultant shall deliver all completed work and Client shall pay for services performed up to the termination date.

Confidentiality

Each party agrees that Confidential Information received from the other party will be used solely for the purposes of performing obligations under this Plan and will not be disclosed to third parties except as required by law or with prior written consent. Reasonable measures shall be taken to protect Confidential Information at least as protective as those used for the receiving party's own confidential information.

Liability and Insurance

Consultant shall maintain insurance coverage appropriate to the scope of services. Consultant’s liability for direct damages arising out of its performance shall be limited to the greater of the total fees paid under this Plan or the limits of applicable insurance coverage. Neither party shall be liable for consequential, incidental or punitive damages except in cases of willful misconduct or gross negligence.

Governing Law

This Plan shall be governed by and construed in accordance with the laws of the State of: without regard to conflict of laws principles.

Entire Agreement

This Plan, including all attachments and referenced documents, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior proposals, negotiations and agreements, whether written or oral. Any amendment must be in writing and executed by authorized representatives of both parties.
