What the Roadrunner Express Delivery Service Agreement Covers

The Roadrunner Express Delivery Service Agreement is a written contract that defines the relationship between a delivery carrier and a customer for pickup, transport, and delivery of goods. It sets service scope, delivery windows, payment terms, liability limits, insurance requirements, proof-of-delivery procedures, and claim handling. The agreement also addresses term and termination, confidentiality of shipment information, applicable law, and signature blocks for authorized representatives. Properly completed, the agreement creates enforceable obligations that allocate operational risk and establish remedies for late delivery, loss, or damage.

Why a Formal Delivery Service Agreement Matters

A written agreement clarifies responsibilities, limits exposure, and streamlines claims and billing. It reduces disputes by documenting service levels, pricing, insurance, and procedures for lost or damaged shipments.

Why a Formal Delivery Service Agreement Matters

Who Typically Prepares and Signs This Agreement

The agreement is prepared and executed by parties who manage or receive freight and need documented delivery terms.

  • Logistics managers and carrier contracting teams responsible for rates, routes, and insurance coverage.
  • Small business owners and e-commerce merchants who require reliable pickup and proof-of-delivery processes.
  • Legal or procurement staff who review indemnity, limitation of liability, and governing law clauses.

Identifying the right signatory and reviewer reduces delays and helps ensure operational and legal compliance.

Core Elements to Include in a Professional Agreement

A complete delivery service agreement combines operational, financial, and legal elements so both parties understand expectations and risks.

Scope of Services

Describe pickup locations, acceptable goods, delivery methods, handling requirements, and any excluded items to avoid ambiguity and improper carriage.

Service Levels

Define delivery windows, transit time commitments, expedited options, and remedies or credits for missed windows or SLA breaches.

Pricing and Payment

State rates, billing frequency, invoicing procedures, fuel surcharges, accessorial fees, and late payment interest to prevent billing disputes.

Liability and Insurance

Set limits of liability, required cargo insurance, deductibles, and the process to file and resolve damage or loss claims.

Proof of Delivery

Specify acceptable POD formats (electronic signature, photo, barcode scan), retention period, and how signed PODs are delivered to the shipper.

Termination and Remedies

Outline termination rights, notice periods, payment on termination, and dispute resolution methods such as arbitration or venue selection.

Step-by-Step: Completing the Agreement

Follow these sequential steps to complete and validate the delivery service agreement for operational use and legal enforceability.

  • 01
Prepare Document: Populate party names, addresses, and effective date before adding pricing.
  • 02
Define Services: Describe pickup, deliveries, prohibited items, and any special handling.
  • 03
Set Terms: Insert payment, claims, insurance, and limitation of liability language.
  • 04
Sign and Distribute: Obtain authorized signatures and share signed copies with operations and accounting.

Typical Contract Workflow from Draft to Live Service

Contracts move through drafting, review, signature, and operational handoff — each step requires clear ownership and documentation.

  • Draft: Create the agreement template and enter core commercial terms.
  • Review: Legal and operations verify liability, insurance, and serviceability.
  • Authorize: Authorized signers execute the agreement via wet or electronic signature.
  • Implement: Operations receive routes, billing details, and POD requirements for execution.

Digital Execution and Platform Considerations

Electronic completion streamlines execution but requires specific file formats and authentication settings.

  • File Formats: PDF or DOCX preferred for templates.
  • Authentication: Use email, SMS codes, or higher assurance for sensitive accounts.
  • Integrations: Connectors include Salesforce, NetSuite, and Google Workspace.

Ensure the chosen platform supports audit trails, document retention, and any industry compliance such as HIPAA if handling protected health information.

Recommended Digital Workflow Settings

Configure these common workflow settings when sending the agreement for signature to reduce signer friction and ensure compliance.

Field Configuration
Upload Document PDF or DOCX accepted
Signer Authentication Email or SMS code
Template Fields Signature, initials, date, rate table
Routing Order Sequential or parallel routing

Common Preparation Errors to Avoid

  • Using undefined rate language that causes billing disputes and invoice chargebacks if shipments exceed quoted dimensions.
  • Omitting insurance requirements which leaves loss recovery unclear and may shift uninsured liability to the shipper.
  • Failing to identify authorized signatories leading to rejected or unenforceable agreements when relying on corporate authority.
  • Skipping proof-of-delivery specifications which delays claims resolution and creates disagreement about delivery acceptance.
