Roadside Assistance Agreement

WHEREAS

WHEREAS, Service Provider is engaged in the business of providing emergency roadside assistance, towing and related vehicle services and holds all licenses and permits required to perform such services under applicable law; and

WHEREAS, Client is the registered owner or operator of the vehicle requiring assistance and desires to retain Service Provider to render roadside assistance under the terms set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

Scope of Work

Service to be provided to the vehicle described below at the location stated. The Service Provider shall provide only the specific services requested and accepted by Client and documented in this Agreement. Any additional services requested by Client shall be subject to additional charges and written or oral authorization documented by Service Provider.

Payment Terms

Client agrees to pay Service Provider for services rendered at the rates set forth below. All fees are due in accordance with the payment schedule. Client is responsible for all charges including labor, towing distance, materials, storage (if any), and taxes.

Late payment will incur a late fee calculated as either a percentage of the outstanding balance or a flat fee as set forth below.

Term and Termination

This Agreement commences on the start date set forth below and remains in effect until the end date or until terminated in accordance with this section.

Either party may terminate this Agreement by providing written notice to the other party within the notice period stated above. Service Provider may withhold provision of services or impose storage charges if Client fails to pay any amounts due.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential. Confidential information shall not include information that is publicly known through no breach by the receiving party or that is required to be disclosed by law.

Liability and Indemnification

Service Provider shall exercise reasonable care in performing services. Client acknowledges the inherent risks in vehicle recovery and accepts that Service Provider's liability for loss, damage, or delay is limited to direct damages not to exceed the total fees paid under this Agreement for the specific service that gave rise to the claim. Service Provider is not liable for pre-existing vehicle conditions, mechanical failures unrelated to services performed, or consequential damages. Client agrees to indemnify and hold Service Provider harmless from claims arising from Client's negligence or breach of this Agreement.

Authorization and Consent

Client authorizes Service Provider to perform the services checked above, to tow or transport the vehicle as necessary, and to procure parts or third-party services as required. Client authorizes Service Provider to charge the payment method provided for fees and reasonable additional charges.


Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any scopes, estimates, or written addenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment must be in writing and signed by both parties.

Miscellaneous Provisions

If any provision of this Agreement is found to be unenforceable, the remainder shall remain in full force and effect. Notices required or permitted under this Agreement shall be in writing and delivered to the address set forth above.

Acknowledgment

By signing below, Client acknowledges receipt of services or the scope of services to be provided, affirms ownership or lawful authority to authorize the services for the vehicle described above, and agrees to the terms and conditions of this Agreement.
