RODENT CONTROL AGREEMENT

This Rodent Control Agreement (the "Agreement") is entered into as of by and between Service Provider: , having an address at and Client Name: , with service location at .

RECITALS

WHEREAS, Service Provider is duly licensed and experienced in commercial and residential rodent control, inspection, and remediation and maintains personnel trained in the use and application of rodenticides, traps and other control measures; and

WHEREAS, Client owns or controls the Property specified above and desires to engage Service Provider to provide rodent control services pursuant to the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective obligations, limits of liability, service schedule and payment terms in writing.

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the inspection, monitoring, baiting, trapping, exclusion recommendations and written reporting described in Section 2 and any ancillary work expressly agreed in writing.

1.2 "Property" means the service location identified above and exterior grounds as further specified in Schedule A attached hereto by the parties in writing.

2. SCOPE OF SERVICES

2.1 Service Provider shall perform an initial inspection of the Property to locate rodent entry points, nests, harborages and conditions conducive to infestation. Following inspection Service Provider shall implement a written control plan that may include installation of bait stations, snap traps, live traps, exclusion work, sanitation recommendations and monitoring.

2.2 Methods and materials used shall be at Service Provider's discretion consistent with the site-specific plan, applicable product labels and applicable laws and regulations. Client acknowledges and consents to the use of bait stations and rodenticides where necessary unless otherwise restricted below.

3. EXCLUSIONS AND SPECIAL INSTRUCTIONS

3.1 The Services do not include structural repairs, large-scale exclusion construction, sewer line work, removal of heavy debris or extensive carcass retrieval unless separately agreed in writing. Client accepts responsibility for notifying Service Provider of any known utilities, wells, septic systems, or sensitive areas on the Property.

4. SERVICE SCHEDULE & TERM

4.1 Initial Service Date: . Recurring service frequency: .

4.2 Term: The initial term of this Agreement is commencing on the Initial Service Date and shall automatically renew for successive periods of equal length unless either party provides written notice of termination at least prior to the end of the then-current term.

5. FEES AND PAYMENT

5.1 Client shall pay Service Provider the fees set forth below. Unless otherwise agreed, payment is due within days of invoice.

5.2 Late Payment: Any past due amount shall accrue interest at a rate of or the maximum rate permitted by law, whichever is lower. Client shall also reimburse Service Provider for reasonable costs of collection, including attorneys' fees.

6. CLIENT OBLIGATIONS

6.1 Client shall grant reasonable access to the Property during regular business hours or at mutually agreed times, remove foodstuffs and secure animals as may be necessary, and promptly implement the sanitation and exclusion recommendations provided by Service Provider. Failure to cooperate may void any limited service warranties.

7. LIMITED WARRANTY; DISCLAIMER

7.1 Service Provider warrants that Services will be performed in a professional manner consistent with industry standards. Client acknowledges that rodent control results cannot be guaranteed and that re-infestation may occur as a result of conditions beyond Service Provider's control.

7.2 EXCEPT AS EXPRESSLY PROVIDED HEREIN, SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. INSURANCE; LIMITATION OF LIABILITY

8.1 Service Provider shall maintain commercial general liability insurance in customary amounts and, where applicable, workers' compensation coverage. Upon reasonable request, Service Provider shall provide certificates of insurance. Client acknowledges that maximum aggregate liability of Service Provider under this Agreement shall be limited to the total fees paid by Client to Service Provider in the twelve (12) months preceding the date of the claim.

9. INDEMNIFICATION

9.1 Client shall indemnify, defend and hold harmless Service Provider and its employees and agents from and against any third-party claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement, Client's negligence, willful misconduct, or the presence of hazardous materials on the Property not disclosed to Service Provider.

10. PESTICIDE SAFETY; PETS AND CHILDREN

10.1 Service Provider shall apply pesticides in accordance with product labels and applicable law. Client shall notify Service Provider of the presence of children, elderly occupants, pets or species of concern and shall follow any post-application instructions. Client is responsible for securing or removing animals from treated areas at the time of service.

11. RECORDS AND REPORTS

11.1 Service Provider shall maintain written inspection and service records and shall furnish Client with a service report following each scheduled visit summarizing observations, actions taken, and recommended corrective measures.

12. TERMINATION

12.1 Either party may terminate this Agreement for material breach by the other party upon written notice if the breach is not cured within the specified cure period. Termination shall not relieve Client of payment obligations for Services rendered prior to termination.

13. NOTICES

13.1 All notices required or permitted under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by certified mail, return receipt requested, or sent by nationally recognized courier to the addresses below:

14. AMENDMENT; WAIVER; COUNTERPARTS

14.1 This Agreement may be amended only by a writing signed by both parties. Waiver of any provision shall not be effective unless in writing. This Agreement may be executed in counterparts, each of which shall be deemed an original.

15. GOVERNING LAW; ENTIRE AGREEMENT; SEVERABILITY

15.1 This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located without regard to conflict of laws principles.

15.2 This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior proposals, agreements and representations, whether oral or written.

15.3 If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

MISCELLANEOUS

16.1 Assignability: Client may not assign this Agreement without Service Provider's prior written consent. Service Provider may assign to an affiliate or successor in interest.

16.2 Independent Contractor: Service Provider is an independent contractor and not an employee, partner or agent of Client.
