The Investor represents and warrants that the funds being rolled over are eligible for rollover treatment under applicable law. The Investor acknowledges that the tax treatment of the rollover may depend on the type of account elected and that conversion to a Roth account may create taxable income. The Investor further represents that the information provided in this Agreement is accurate and complete.

Withholding election (applicable to indirect rollovers):

The Investor agrees to indemnify and hold harmless the Receiving Custodian and its affiliates for any tax, penalty, or liability that arises from inaccurate instructions provided by the Investor or from the Investor's failure to affirmatively roll over funds within required timeframes for indirect rollovers.

Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to other addresses provided in writing by either party. Notices shall be deemed given when received by hand delivery, courier, or on the date of receipt if sent by certified mail.

This Agreement shall be governed by and construed in accordance with the laws of the state specified by the Receiving Custodian in its account documentation, without regard to conflicts of law principles. The terms of this Agreement constitute the entire agreement between the parties with respect to the subject matter and supersede all prior agreements and understandings, whether written or oral.
