Either party may terminate this Agreement for material breach if the breaching party fails to cure within days after written notice. Termination shall not relieve Client of payment obligations for services performed prior to termination.

CONFIDENTIALITY

Inspector shall not disclose Confidential Information to third parties except (a) with Client's prior written consent, (b) as required by law, or (c) to Inspector's employees, contractors, or professional advisors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein.

LIMITATIONS OF INSPECTION

Inspector's inspection is a visual, non-invasive evaluation of readily accessible roof components and observed conditions at the time of inspection. Inspector makes no warranty, express or implied, regarding the future performance of the roof, latent defects, or conditions concealed from observation. Recommendations are professional opinions based on observed conditions and industry practice.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Report and Agreement, including the attached inspection observations and any referenced exhibits, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements. Any amendment must be in writing and signed by both parties.
