ROOF LEASE AGREEMENT

This Roof Lease Agreement ("Agreement") is entered into as of by and between the parties identified below.

All installations must comply with building and electrical codes, be approved by Lessor in writing, and shall be installed by licensed contractors. Lessee shall obtain and pay for all permits and inspections required for installation and operation.

ROOF CONDITION, ACCESS AND MAINTENANCE

Lessee shall maintain the roof and Lessee's equipment in good repair and promptly perform all repairs resulting from Lessee's use or installation. Lessor retains the right to inspect the roof upon reasonable notice and to require correction of any condition that threatens the structural integrity of the building.

Access for installation, inspection, maintenance and emergency repairs shall be permitted during normal business hours, and Lessee shall provide emergency contact:

TAXES, UTILITIES AND FEES

Lessee shall be responsible for all utilities and services necessary to operate Lessee's equipment. Lessee shall pay all taxes, assessments, fees or charges assessed against Lessee's equipment or arising from Lessee's use of the roof.

INSURANCE; INDEMNITY

Lessee shall, at its sole cost and expense, maintain and keep in force during the Term commercial general liability insurance covering Lessee's operations and equipment with limits not less than per occurrence and property insurance covering Lessee's equipment. Lessee shall name Lessor as additional insured and provide certificates of insurance to Lessor prior to commencement of work.

Lessee shall indemnify, defend and hold Lessor harmless from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising out of Lessee's use of the roof, installation, maintenance, operation or removal of equipment, except to the extent caused by Lessor's gross negligence or willful misconduct.

PERMITS, COMPLIANCE AND ENVIRONMENTAL MATTERS

Lessee shall obtain and maintain, at Lessee's expense, all permits, approvals and inspections required by governmental authorities for Lessee's use, installation and operation. Lessee shall comply with all applicable laws, codes and regulations. Lessee shall not cause, use, release or dispose of hazardous materials on the roof except as expressly permitted in writing and in compliance with all environmental laws.

REMOVAL, RESTORATION AND LIENS

Upon expiration or earlier termination of this Agreement, Lessee shall remove its equipment and restore the roof to substantially the condition existing prior to installation, reasonable wear and tear excepted, within days. Lessee shall promptly discharge any liens arising from Lessee's work. If Lessee fails to remove equipment or restore the premises within the stated period, Lessor may remove, store or dispose of such equipment at Lessee's expense.

DEFAULT; REMEDIES

A default exists if either party fails to perform any material obligation under this Agreement and such failure continues for days after written notice (unless immediate action is required for safety or to prevent material damage). Remedies available to the non-defaulting party include termination, recovery of damages, injunctive relief and other remedies at law or in equity. Lessor's right to terminate shall be in addition to any other remedy.

CASUALTY; CONDEMNATION

In the event of damage to the roof or building by casualty, Lessor shall notify Lessee and shall undertake repairs as required by applicable law and insurance proceeds. If the roof or building is subject to condemnation or if damage renders the roof unfit for the permitted use, either party may terminate this Agreement and the parties shall account for rent and restoration responsibilities consistent with applicable law.

ASSIGNMENT AND SUBLETTING

Lessee shall not assign, transfer or sublicense this Agreement or permit any subletting of the roof space without Lessor's prior written consent, which consent shall not be unreasonably withheld for bona fide commercial assignments. Any attempted assignment without consent shall be void.

GOVERNING LAW; ATTORNEYS' FEES; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state where the property is located. The prevailing party in any action to enforce this Agreement shall be entitled to recover reasonable attorneys' fees and costs. This Agreement, together with any attachments or exhibits, constitutes the entire agreement between the parties and supersedes all prior negotiations and agreements relating to the subject matter hereof.

NOTICES

Notices under this Agreement shall be in writing and delivered personally, by certified mail (return receipt requested), or by nationally recognized overnight courier to the addresses set forth above and shall be effective upon receipt.

MISCELLANEOUS PROVISIONS

No waiver of any breach shall constitute a waiver of any other or subsequent breach. If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. The parties agree to execute such additional instruments as may be reasonably necessary to carry out the purposes of this Agreement.
