Insurance, Indemnity & Liens

Tenant shall, at Tenant's sole cost, maintain commercial general liability insurance with limits not less than per occurrence and property damage coverage of .

Tenant shall indemnify, defend and hold Landlord harmless from and against all claims, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of Tenant's use, occupancy, construction, operation, removal or maintenance of Tenant's equipment, except to the extent caused by Landlord's gross negligence or willful misconduct.

Tenant shall not permit any mechanic's or other lien to be filed against the Property as a result of Tenant's activities. Tenant shall promptly discharge or bond over any such lien at Tenant's expense.

Construction, Access & Removal

Tenant shall perform all construction in a good and workmanlike manner, comply with all applicable building codes and obtain all required permits. Tenant shall schedule roof access and work with Landlord to minimize disruption. Tenant shall pay for any repairs to the roof and structure caused by Tenant's installation or removal of equipment.

Environmental & Legal Compliance

Tenant warrants that Tenant will not store, use, release or dispose of any hazardous materials on the Property except in strict compliance with applicable law and in connection with the permitted use. Tenant will promptly remediate any contamination caused by Tenant at Tenant's expense and shall provide notice to Landlord as required by law.

Default and Remedies

The following shall constitute an event of default by Tenant: (a) failure to pay rent or other amounts when due and not cured within ; (b) failure to cure a material breach of any other lease provision within after notice.

Upon Tenant default, Landlord may terminate the lease and pursue all remedies available at law or in equity, including recovery of damages, removal of equipment and recovery of costs of removal and repair.

Assignment, Subletting & Transfer

Tenant shall not assign, transfer or sublet its interest under the Lease without Landlord's prior written consent, which shall not be unreasonably withheld for transfers to an affiliate or to an acquirer of all or substantially all of Tenant's assets provided the assignee assumes Tenant's obligations.

Condemnation; Casualty

If the Property or roof area is condemned or substantially damaged by casualty, a party may terminate the Lease if the loss prevents the continued use of the roof for the permitted use. If the Lease continues, Tenant shall cooperate with Landlord on repairs and restoration.

Miscellaneous

Governing Law: This Proposal and any subsequent Lease shall be governed by and construed in accordance with the laws of the state where the Property is located.

Entire Agreement: The terms of any definitive Lease shall constitute the entire agreement between the parties with respect to the subject matter and supersede all prior negotiations and proposals.
