What a Roof Project Agreement Covers

A Roof Project Agreement is a written contract between a property owner and a roofing contractor that defines the scope, schedule, and payment terms for roof replacement, repair, or installation. It typically identifies the parties, project address, materials and specifications, start and completion dates, pricing and payment schedule, change order procedures, warranty information, and responsibility for permits and inspections. The agreement also addresses insurance, lien waivers, dispute resolution, and conditions for termination. Properly drafted, it reduces misunderstandings and provides a clear basis for enforcement.

Why a Written Roof Project Agreement Matters

A Roof Project Agreement clarifies expectations, allocates risk, and documents payment and warranty terms so both parties understand obligations. It helps avoid disputes, supports permit and insurance compliance, and creates an enforceable record if collection or litigation becomes necessary under ESIGN and state contract law.

Why a Written Roof Project Agreement Matters

Who Typically Prepares and Uses This Agreement

Typical users include homeowners, roofing contractors, property managers, and general contractors arranging work and payments under defined project terms.

  • Homeowners scheduling roof repair or full replacement who need clear pricing and timelines.
  • Roofing contractors documenting scope, materials, change orders, and warranty obligations for projects.
  • Property managers and landlords contracting for repairs across multiple properties requiring consistent terms.

Use agreements whenever scope, price, or timing could be disputed; attach permits, specs, and insurance certificates.

Core Elements to Include in the Agreement

Essential Roof Project Agreement elements define work scope, materials, schedule, payment, change orders, warranty, and responsibilities for permits, insurance, and lien waivers.

Scope of Work

Describe tasks included and excluded, surface preparation, underlayment, flashing, ventilation, disposal, and final cleanup. Specify acceptable materials and brands and attach manufacturer specifications and installation methods as an enforceable exhibit.

Materials & Specs

List shingle type, grade, underlayment, fasteners, flashing materials, and any specialty components. Include color, warranty classification, and references to manufacturer guidelines to avoid substitution disputes.

Schedule

Provide start date, anticipated completion date, key milestones, weather-related delay provisions, and notice requirements for schedule changes. Tie payments to verified milestones to limit disputes.

Payment Terms

State total price, deposit amount, progress payment schedule, final payment, accepted payment methods, retainage provisions, and remedies for nonpayment including interest and suspension rights and enforcement.

Change Orders

Require written change orders specifying scope, price adjustment, and impact on schedule. Define approval workflow and hold parties to documented variations before commencing altered work.

Insurance & Warranties

Specify contractor insurance coverage limits, certificate of insurance requirements, workmanship warranties with duration and remedies, and manufacturer warranty transferability to owner if applicable and registration procedures for claims.

Typical Deadlines and Time-Sensitive Dates

Key deadlines for a Roof Project Agreement include permit filing, start and completion dates, payment due dates, warranty periods, and statutory retention obligations.

Permit Filing:

Submit permits before work begins; municipal timelines vary.

Start Date:

Begin work on or after the agreed start date.

Milestone Payments:

Pay according to schedule tied to verified completion stages.

Final Inspection:

Complete inspection and sign off to release final payment.

Warranty Period:

Track warranty start on completion date and retain documentation.

Common Preparation Mistakes to Avoid

  • Leaving the scope vague or relying on manufacturer brochures without attaching specifications leads to disputes over materials and installation quality, increasing change orders and delay.
  • Failing to link payments to measurable milestones can create cash flow problems and motivate contractors to pause work, triggering conflict and potential lien filings.
  • Not obtaining certificates of insurance, license verification, and copies of manufacturer warranties exposes owners to liability for property damage or substandard repairs.
  • Using handwritten corrections, unsigned change orders, or oral modifications without written confirmation undermines enforceability and complicates dispute resolution.

Penalties and Immediate Risks from an Improper Agreement

Liens: Contractor may record mechanic's lien
Permit Fines: Municipal fines or stop-work orders
Payment Delays: Withheld funds or litigation risk
Warranty Loss: Improper installation may void warranties
Insurance Denial: Claims denied without compliance evidence
Increased Costs: Change orders and legal fees accrue
