Changes, Extras and Change Orders

Liens, Releases and Final Payment

Contractor shall not permit liens to be filed. Upon final payment, Contractor shall deliver conditional and unconditional lien releases as required. Owner's obligation to make final payment is conditioned upon Contractor's delivery of required lien waivers and completion in accordance with this Agreement.

Default, Remedies and Termination

In the event of a material breach by either party, the non-breaching party shall provide written notice and a reasonable opportunity to cure. If not cured within the specified cure period, the non-breaching party may terminate and pursue remedies at law or equity including damages, specific performance, or recovery of costs.

Hazardous Materials

If concealed hazardous materials (including but not limited to asbestos or lead) are discovered, work will stop and parties will confer. Costs to abate hazardous materials will be treated as change order work and will be the responsibility of the party required by law to remediate such materials.

The parties agree that disputes arising from this Agreement shall first be submitted to non-binding mediation. If unresolved, disputes may be pursued in a court of competent jurisdiction. This Agreement shall be governed by the laws of the state where the property is located.

Entire Agreement and Severability

This Agreement, including all attachments and executed change orders, represents the entire agreement between Owner and Contractor and supersedes all prior negotiations and agreements. If any provision is held unenforceable, the remainder shall remain in full force.
