Recitals

WHEREAS, Contractor represents that it is properly licensed, trained and equipped to perform repair work on roof ventilation components and related flashing and sealing at the Property; and

WHEREAS, Client is the owner or authorized agent of the Property and desires to engage Contractor to perform the repair work described herein in accordance with the terms and conditions of this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants set forth below, the parties agree as follows:

Scope of Work

Contractor shall perform repair, replacement and sealing of roof vents and associated flashing as described below. The work shall include assessment, removal of deteriorated components, installation of new vent flashing or collars, sealing with appropriate roofing sealant, and cleanup of the work area.

Either party may terminate this Agreement for material breach that remains uncured for days after written notice. Termination shall not relieve Client of payment obligations for work performed prior to termination.

Change Orders

Any change to the Scope of Work, materials, or price must be documented in a written change order signed by both parties. Work performed in excess of the original scope without a signed change order may be considered non-authorized and not billable.

Confidentiality

Each party agrees that non-public information obtained from the other party in connection with this Agreement shall be treated as confidential and shall not be disclosed to third parties except as required by law, necessary for performance, or with prior written consent of the disclosing party. Confidential information does not include information that becomes publicly available through no fault of the receiving party.

Insurance, Liability and Warranties

Contractor represents that it maintains workers' compensation and general liability insurance appropriate for the work. Contractor shall be responsible for direct damage caused by its negligence. Contractor provides a limited warranty for workmanship of months from completion; materials may carry separate manufacturer warranties.

Permits, Access and Site Conditions

Client authorizes Contractor to access the Property as reasonably necessary to perform the Scope of Work. Contractor is not responsible for concealed conditions that materially increase the cost or time of performance; such conditions will be subject to a change order.

This Agreement, together with any signed change orders and attachments, constitutes the entire agreement between the parties and supersedes all prior negotiations, representations and agreements, whether written or oral, concerning the subject matter hereof. No waiver of any breach will be effective unless in writing and signed by the waiving party.
