CONFIDENTIALITY

The parties acknowledge that certain information exchanged under this Certification may be confidential. Each party agrees not to disclose Confidential Information of the other party to any third party except as required by law or to perform obligations under this Certification. "Confidential Information" excludes information that is or becomes publicly available through no fault of the receiving party or is independently developed without use of the disclosing party's confidential materials.

CERTIFICATION

The undersigned Contractor hereby certifies, to the best of Contractor's knowledge and belief, that the roofing work described herein has been completed in accordance with applicable building codes, accepted industry practices, and the manufacturer's installation instructions for the materials installed. Contractor further certifies that materials used conform to the specifications indicated above, that flashing, underlayment, fasteners, and ventilation were installed as required, and that the completed roof, insofar as reasonably observable at time of final inspection, is free of material defects.

Contractor acknowledges any stated warranty obligations and agrees to perform necessary warranty repairs in accordance with the warranty terms and applicable law. This certification is given subject to reasonable inspection limitations and does not constitute a guaranty against subsequent damage from weather, falling objects, or acts of third parties.

GOVERNING LAW; ENTIRE AGREEMENT

This Certification shall be governed by and construed in accordance with the laws of the State selected by the parties by mutual agreement. This instrument, together with any documents expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the matters addressed herein and supersedes all prior oral or written agreements on those matters.
