ROOFING SERVICES AGREEMENT

This Roofing Services Agreement is made effective as of by and between Contractor Name: and Client Name: .

RECITALS

WHEREAS, Contractor is duly licensed and experienced in the performance of roofing services, including removal, installation, repair and replacement of roofing systems, and maintains appropriate insurance and personnel to perform such services; and

WHEREAS, Client owns or controls the property located at Project Address: (the "Property") and desires to engage Contractor to perform roofing services as set forth in this Agreement; and

WHEREAS, the parties desire to set forth the terms and conditions under which Contractor will perform work and Client will pay for such services.

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment and supervision necessary to complete the roofing work described below in a workmanlike manner in accordance with industry standards. Specific tasks, materials and performance standards are set forth in the Scope of Work.

PAYMENT TERMS

The total contract price for the work described in this Agreement is (USD), subject to authorized change orders. Payment shall be made as follows.

Late payments shall incur a late fee of on unpaid balances, compounded monthly, and Client shall be responsible for any costs of collection, including reasonable attorney fees.

TERM AND TERMINATION

This Agreement shall commence on Start Date: and shall continue until completion of the Work or until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within Notice Period: days after receipt of written notice. If Client terminates for convenience, Client shall pay Contractor for work performed, materials purchased, and reasonable demobilization costs.

PERMITS, INSPECTIONS AND COMPLIANCE

Contractor shall obtain and pay for all required permits unless otherwise agreed in writing. Contractor shall schedule and comply with required inspections. Contractor represents that work will be performed in compliance with applicable building codes, ordinances and manufacturer requirements. Client shall be responsible for any costs associated with unforeseen code upgrades required by the authority having jurisdiction and not reasonably discoverable prior to execution of this Agreement.

WARRANTIES, REPAIRS AND MATERIALS

Contractor warrants that labor performed under this Agreement will be free from defects for Warranty Period: from completion. Manufacturer warranties for materials, if any, shall be assigned to Client to the extent assignable. Warranty remedies shall be limited to repair or replacement of defective work at Contractor’s option.

INSURANCE, INDEMNITY AND LIEN WAIVER

Contractor shall maintain commercial general liability, workers’ compensation and automobile liability insurance in amounts customarily maintained for similar projects. Contractor shall indemnify and hold Client harmless from claims arising from Contractor’s negligent acts, omissions or willful misconduct, except to the extent caused by Client’s negligence. Contractor shall furnish lien waivers upon receipt of payment in accordance with the payment schedule.

CHANGE ORDERS

Any change in scope, materials, schedule or price shall be effective only upon execution of a written change order signed by both parties detailing the change, associated cost adjustments and any extension to the completion schedule.

CONFIDENTIALITY

Each party shall treat as confidential all non-public business information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except to the extent necessary to perform the work or as required by law. Confidential information shall not include information that is or becomes publicly available other than by breach of this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations or agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.
