CHANGE ORDERS & SITE CONDITIONS

Site Conditions & Access: Client shall provide access to the property, clear the work area of personal property, and remove obstacles which may hinder performance. Contractor is not responsible for damage to property left in the work area. Client is responsible for locating and identifying underground utilities when required.

CONFIDENTIALITY

Confidential Information: Each party agrees that non-public business information and pricing terms exchanged in connection with this Estimate and Services Agreement shall be held in confidence and used solely to perform under this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or information required to be disclosed by law.

GOVERNING LAW & ENTIRE AGREEMENT

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state in which the Property is located. Any action arising hereunder shall be brought in the appropriate state or federal court within that jurisdiction.

Entire Agreement: This Estimate and Services Agreement constitutes the entire agreement between Contractor and Client with respect to the subject matter hereof and supersedes all prior negotiations, proposals and agreements, whether written or oral. No modification of this Agreement shall be effective unless in a written instrument signed by both parties.
