RECITALS

Contractor warrants that the roofing work performed shall be free from defects in workmanship and materials for the warranty period specified above. Remedies shall be limited to repair or replacement at Contractor's option, subject to the terms of this document and to normal wear and tear, storm damage exclusions, and improper maintenance by the Client.

LIENS, RELEASES, INSURANCE

Upon receipt of final payment as defined in this document, Contractor shall deliver unconditional final lien waivers for Contractor and its subcontractors and suppliers covering all labor and materials included in the final invoice.

Contractor confirms it maintains general liability and workers' compensation insurance in amounts customary for the roofing trade and will provide certificates of insurance upon request prior to final payment.

CONFIDENTIALITY

The parties agree that pricing, proprietary details of materials, and any non-public project documents are Confidential Information. Neither party will disclose Confidential Information to third parties except as required by law or to perform obligations under this agreement. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Contractor shall indemnify and hold Client harmless from claims arising from Contractor's negligent performance of the work, to the extent caused by Contractor's acts or omissions. Neither party shall be liable to the other for consequential, incidental, or punitive damages except for willful misconduct or gross negligence.

GOVERNING LAW

This Roofing Final Document shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This document, together with any referenced change orders, schedules and written attachments signed by both parties, constitutes the entire agreement between Client and Contractor with respect to the Project and supersedes all prior negotiations, representations, and agreements, whether written or oral. No amendment is effective unless in writing and signed by both parties.
