Lessee is responsible for routine maintenance of its Improvements and for repairs caused by its activities. Lessee shall obtain and pay for all permits, licenses and approvals required for the installation, operation and removal of the Improvements, and shall comply with all laws, codes and regulations. Lessee shall be responsible for any taxes, assessments or fees directly attributable to Lessee's use or ownership of the Improvements.

11. Default; Remedies; Cure Period

Each party shall be in default upon failure to perform any material obligation under this Agreement. The non-defaulting party shall give written notice and the defaulting party shall have a cure period of days to cure, except that payment defaults shall be cured within days. Remedies include termination, damages, and specific performance as permitted by law.

12. Removal; Restoration on Termination

Upon expiration or earlier termination, Lessee shall remove its Improvements and restore the Premises within days. If Lessee fails to remove Improvements, Lessor may remove at Lessee's expense and apply the security deposit to costs of removal and restoration.

13. Assignment and Subletting

Lessee shall not assign this Agreement or sublet the Premises without Lessor's prior written consent, which shall not be unreasonably withheld for assignments to affiliates or bona fide purchasers of Lessee's business. Any permitted assignee shall assume Lessee's obligations.

Lessee shall not cause or permit the release of hazardous substances on, under, or about the Premises. Lessee shall comply with all environmental laws and shall be responsible for any environmental contamination arising from its activities.

Governing Law: This Agreement shall be construed and enforced in accordance with the laws of the State of without regard to conflict of law principles.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remainder shall remain in full force and effect.
