ROOFING MAINTENANCE AGREEMENT

This Roofing Maintenance Agreement (the "Agreement") is entered into as of by and between:

WHEREAS

WHEREAS, Client owns or controls the roof and related structures located at (the "Property"); and

WHEREAS, Contractor is duly licensed and experienced in the inspection, maintenance, repair and preservation of roofing systems and agrees to provide routine maintenance and inspection services under the terms set forth herein; and

WHEREAS, the parties desire to define their respective rights and obligations with respect to routine roofing maintenance and related services.

SCOPE OF WORK

Contractor shall perform routine inspections, maintenance and minor repairs to preserve the integrity and weatherproofing of the roof as described below. Major repairs, replacements, and unexpected corrective work are not included unless expressly authorized in writing.

PAYMENT TERMS

Client shall pay Contractor for services performed as follows. All sums stated are exclusive of applicable taxes unless otherwise indicated.

Invoices are due within days of invoice date. Late payments shall incur a late fee equal to the lesser of % per month or the maximum permitted by law. Client is responsible for reasonable collection costs and attorney fees incurred by Contractor to collect past due amounts.

Change orders for additional services or materials shall be documented in writing and signed by both parties prior to commencement. Labor and materials for approved change orders will be billed in accordance with Contractor's prevailing rates.

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate for convenience upon days' prior written notice. Either party may terminate immediately for material breach if the breaching party fails to cure within 14 days of written notice of such breach. Contractor may suspend services immediately if Client fails to pay invoiced amounts when due.

CONFIDENTIALITY

During the term of this Agreement and for a period of two (2) years thereafter, each party shall keep confidential and shall not disclose to any third party any non-public business, technical or financial information of the other party disclosed in connection with this Agreement, except information that: (a) is or becomes generally known to the public other than by breach of this Agreement; (b) was lawfully in the receiving party's possession prior to disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is required to be disclosed by law or court order, provided the receiving party gives prompt notice to the disclosing party and cooperates in any effort to limit disclosure.

INSURANCE; INDEMNITY; LIMITATION OF LIABILITY

Contractor shall maintain insurance customary for roofing contractors, including commercial general liability and workers' compensation as applicable. Contractor agrees to indemnify and hold harmless Client from claims arising from Contractor's negligent acts or omissions in performing the services. EXCEPT FOR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE, THE TOTAL LIABILITY OF CONTRACTOR UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO CONTRACTOR DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

ENTIRE AGREEMENT

This Agreement, including any exhibits and written change orders signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and understandings, whether written or oral. No amendment or waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
