ROOFING REPLACEMENT AGREEMENT

WHEREAS, Owner is the record owner of the real property located at (the "Property"); and

WHEREAS, Contractor is duly licensed, experienced and qualified to perform roofing replacement services and represents that Contractor shall perform the work in a workmanlike manner consistent with industry standards; and

WHEREAS, Owner desires to engage Contractor, and Contractor agrees to perform, the roofing replacement services described in this Agreement in accordance with the terms and conditions set forth below.

Scope of Work

Contractor shall furnish all labor, materials, tools, equipment, supervision and services necessary to complete the roofing replacement at the Property. The Scope of Work includes, at minimum, removal of existing roofing materials, inspection and repair of roof deck as required, installation of specified underlayment, flashing, ventilation, and new roofing material, final cleanup and disposal of debris, and any manufacturer-required preparations for warranty compliance.

Payment Terms

Total Contract Price: $

Deposit/Initial Payment: $ payable upon execution of this Agreement.

Final Payment due upon substantial completion and Owner's final inspection and acceptance, less any amounts properly withheld for defective work, then payable within days.

Late Payment: Unpaid amounts shall accrue interest at the rate of on the unpaid balance or the maximum lawful rate, whichever is less. Contractor may suspend work for nonpayment after providing written notice and a period to cure of days.

Upon receipt of final payment Contractor shall furnish Owner with a conditional or unconditional waiver of liens, as applicable, for all work performed and materials supplied to date.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for a period of days after written notice. Owner may terminate for Contractor's failure to maintain required insurance or licenses immediately upon written notice.

Change Orders

Any alteration, addition or deletion to the Scope of Work shall be made only by written change order executed by Owner and Contractor, specifying adjustments to the contract sum and time for completion.

Permits, Inspections and Insurance

Contractor shall obtain and pay for all permits and inspections required by applicable law in connection with the performance of the work, unless otherwise agreed in writing. Contractor shall maintain commercial general liability insurance, workers' compensation coverage as required by law, and automobile liability insurance for the duration of the work and provide certificates of insurance upon request.

Indemnity: Contractor shall indemnify and hold Owner harmless from claims, liabilities, losses and expenses arising from Contractor's negligent performance of the work, except to the extent caused by Owner's gross negligence or willful misconduct.

Warranties

Contractor warrants that labor shall be free from defects for a period of months from substantial completion. Manufacturer's warranties for materials supplied shall be passed through to Owner to the extent transferable and available.

Confidentiality

Each party shall keep confidential all nonpublic business information and documents of the other party obtained in connection with this Agreement and shall not disclose such information to third parties except as required by law or as reasonably necessary to perform the Scope of Work. Confidential information shall remain confidential for a period of years following termination or expiration of this Agreement.

Acceptance and Final Inspection

Upon completion, Contractor shall notify Owner to perform a final inspection. Acceptance shall be evidenced by Owner's written acknowledgement of completion or by payment of the final invoice in full. Any deficiencies identified by Owner shall be corrected by Contractor at Contractor's expense in a timely manner.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles.

Entire Agreement

This Agreement, including any written change orders and attachments signed by the parties, constitutes the entire agreement between Owner and Contractor with respect to the roofing replacement and supersedes all prior negotiations, representations, or agreements, whether written or oral. Any amendment to this Agreement must be in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. Time is of the essence with respect to Contractor's obligations. Notices shall be in writing and delivered to the addresses set forth above.
