ROOFING SERVICE AGREEMENT

This Roofing Service Agreement (the Agreement) is entered into as of the date of the last signature below by and between the following parties:

WHEREAS

WHEREAS, Client desires to engage Contractor to perform roofing services at the Project Address described above in accordance with the terms and conditions set forth in this Agreement; and

WHEREAS, Contractor represents that it is duly licensed, qualified and experienced to perform roofing services and will perform such services in a professional and workmanlike manner consistent with industry standards; and

WHEREAS, the parties desire to set forth their agreement with respect to the scope, schedule, payment and related terms for the roofing services to be provided by Contractor.

SCOPE OF WORK

Contractor shall furnish all labor, materials, equipment and supervision necessary to complete the roofing work described below at the Project Address. Work shall include removal of existing roofing as specified, decking repair where required, installation of underlayment, flashing, ventilation components, roofing materials, cleanup and disposal of construction debris, and final inspection and punch list completion.

PAYMENT TERMS

Final payment in the amount of shall be due upon substantial completion and acceptance by Client following final inspection and completion of punch list items.

If Client fails to make payments when due, Contractor may suspend work after providing days' written notice. Client shall be responsible for costs to restore the job site and for any delay-related damages.

TERM AND TERMINATION

This Agreement shall commence on the Start Date: and shall continue until Completion Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after receipt of written notice specifying the breach. Termination by Client for convenience shall require days' prior written notice and payment for work performed and materials purchased or committed.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not use or disclose such information except to perform its obligations hereunder or as required by law. This confidentiality obligation shall survive termination of this Agreement for a period of years.

WARRANTY, INSURANCE, AND INDEMNITY

Contractor warrants that the roofing work shall be free from defects in workmanship for a period of years from substantial completion. Manufacturer warranties for materials shall be assigned to Client to the extent assignable.

Contractor shall maintain commercial general liability, workers' compensation and automobile insurance in amounts customary for the industry. Contractor agrees to indemnify and hold Client harmless from claims arising out of Contractor's negligence or willful misconduct, except to the extent caused by Client's acts or omissions.

PERMITS, INSPECTIONS & CHANGE ORDERS

All change orders altering scope, price or schedule must be in writing and signed by both parties. Change orders shall specify additional compensation or credits and any adjustment to the completion date. Standard hourly rate for change order labor:

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict-of-law principles. Venue for any dispute arising under this Agreement shall be in the competent state or federal court located in that jurisdiction.

ENTIRE AGREEMENT

This Agreement, including any exhibits and written change orders signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous negotiations, representations and agreements, whether written or oral. No amendment or modification shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Contractor may assign to a successor entity in connection with a sale of all or substantially all of its assets.
