ROOFING SERVICE CONTRACT

THIS ROOFING SERVICE CONTRACT (the Agreement) is entered into as of by and between Contractor Name: and Client Name: .

WHEREAS

WHEREAS, Contractor is duly licensed, trained and experienced in the business of roof repair, replacement and installation and represents that Contractor carries liability and workers' compensation insurance sufficient for the scope of work; and

WHEREAS, Client owns or controls the property located at Project Address: (the Property) and desires to engage Contractor to perform roofing services in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the terms, conditions, payment and warranty for such services.

PAYMENT TERMS

Late Payment: Unpaid amounts shall accrue interest at per month (or the maximum permitted by law) after a grace period of days from invoice date.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice. Termination by Client for convenience requires days' written notice and payment to Contractor for all work performed and reasonable demobilization costs.

WARRANTY

Contractor warrants that all labor and materials furnished under this Agreement shall be free from defects in workmanship for a period of months from completion, except for manufacturer's warranties on materials, if any. Warranty does not cover damage caused by acts of God, subsequent improper maintenance, or alterations not performed or approved by Contractor.

CHANGES; CHANGE ORDERS

Any changes to the Scope of Work, materials, or price shall be made only by written Change Order signed by both parties. Contractor shall not be required to perform changed work without an executed Change Order specifying any adjustment to price and schedule.

CONFIDENTIALITY

Each party shall keep confidential all non-public business information and documents obtained from the other party in connection with this Agreement and shall not disclose such information to third parties except as necessary to perform the Work, to comply with applicable law, or as required for collection of payment. This obligation survives termination for a period of two (2) years.

INDEMNIFICATION AND LIENS

Contractor shall indemnify and hold Client harmless from claims, liabilities, damages and costs (including reasonable attorneys' fees) arising from Contractor's negligence or willful misconduct. Client shall indemnify Contractor for claims arising from Client's negligence or wrongful acts. Contractor may record a mechanic's lien for unpaid amounts as permitted by law; Client shall be responsible for costs to remove any lawful lien arising from Client's failure to pay.

FORCE MAJEURE; DELAYS

Neither party shall be liable for delay or failure to perform due to causes beyond its reasonable control, including acts of God, storms, strikes, shortages, governmental actions, pandemics, or other similar events. Time for performance shall be extended by the period of such delay.

INSPECTION AND ACCEPTANCE

Upon substantial completion of the Work, parties shall inspect the Work. Client shall provide written acceptance or a punch list of items to be corrected within days. Contractor shall promptly remedy items on the punch list consistent with the warranty provisions.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its choice of law rules. The parties shall first attempt to resolve disputes by good faith negotiation. If unresolved, disputes shall be resolved by binding arbitration in the county where the Property is located, conducted under the rules applicable to construction disputes.

ENTIRE AGREEMENT

This Agreement, including all referenced attachments and Change Orders, constitutes the entire agreement between the parties concerning the Work and supersedes all prior agreements, proposals, negotiations and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices shall be in writing and delivered to the addresses below. Headings are for reference only and do not affect interpretation.
