ROOFING SERVICES AGREEMENT

Parties

Recitals

WHEREAS, Client desires the performance of roofing services at the property identified in Client Address above; and

WHEREAS, Contractor represents that it is duly licensed and qualified to perform the roofing work described in this Agreement and possesses the experience, personnel, equipment, and insurance required to complete the work in a professional manner; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows effective as of: Effective Date:

Scope of Work

Contractor shall furnish all labor, materials, equipment, and supervision necessary to perform the roofing services described below. The work includes removal (if applicable), disposal of existing roofing, installation of new roofing system, flashing, ventilation adjustments, drip edge, and cleanup. All work shall be performed in accordance with industry standards and applicable local codes.

Payment Terms

Client agrees to pay Contractor the total contract price set forth below. Payments shall be made in United States dollars according to the schedule described in this Agreement. Except as expressly set forth herein, final payment constitutes acceptance of work and will be subject to lien waiver requirements.

All payments shall be due as stated. Client shall provide final payment upon substantial completion, subject to agreed punchlist. Contractor shall provide lien waivers upon receipt of payment for amounts invoiced.

Change Orders

Any change in the scope, materials, or schedule must be authorized in writing by both parties via a signed change order describing the change, price adjustment, and change to the schedule. Contractor is not required to proceed with changes until such change order is executed.

Permits and Approvals

Contractor shall obtain and pay for all permits and inspections required for the performance of the work unless otherwise agreed in writing. Client shall provide reasonable access to the property and a staging area for materials and equipment.

Warranties

Contractor warrants workmanship for a period of from the date of completion. Manufacturer warranties for materials shall be passed through to Client to the extent assignable; Contractor makes no additional warranty as to manufacturer defects beyond facilitating warranty claims.

Insurance and Indemnity

Contractor shall maintain commercial general liability and workers' compensation insurance in amounts customary for similar roofing contractors. Contractor shall indemnify and hold harmless Client from claims arising from Contractor's negligence in performance of the work, except to the extent caused by Client's negligence or willful misconduct.

Term and Termination

The term of this Agreement begins on Start Date: and is anticipated to reach substantial completion by Completion Date: . Either party may terminate this Agreement for material breach if the breaching party fails to cure within Notice Period: after written notice. Upon termination, Client shall pay Contractor for work performed to the date of termination and reasonable demobilization costs.

Confidentiality

Each party shall treat as confidential and shall not disclose to third parties any proprietary information of the other party learned in connection with the performance of this Agreement, except as required by law or to perform the obligations hereunder. Confidential information does not include information already in the public domain through no fault of the receiving party.

Liens and Final Acceptance

Contractor may file mechanic's liens for unpaid amounts in accordance with applicable law. Upon receipt of payment, Contractor shall provide lien releases for amounts paid. Final payment shall be deemed acceptance of work except for latent defects and items on an agreed punchlist.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles. This Agreement, including all exhibits and written change orders executed by the parties, constitutes the entire agreement between the parties and supersedes all prior agreements, proposals, or representations, whether oral or written.

Miscellaneous

No assignment of this Agreement shall be effective without the prior written consent of the other party. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect. Time is of the essence with respect to Contractor's obligations to the extent set forth in this Agreement.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses listed above or such other address as a party may designate in writing.
