Permits, Access & Site Conditions

Access and staging areas shall be provided by Client as reasonably necessary. Contractor is not responsible for delays caused by concealed conditions, unmarked utilities, or conditions not reasonably foreseeable.

Warranties

Contractor warrants workmanship for a period of from completion. Manufacturer material warranties are assigned to Client to the extent transferable; Contractor's obligations are limited to making reasonable claims with manufacturers on Client's behalf.

Confidentiality

Each party shall keep confidential all non-public information disclosed by the other party in connection with this Proposal and the performance of the Work. Confidential information does not include information that is or becomes publicly known through no fault of the receiving party, independently developed by the receiving party, or required to be disclosed by law or regulation. This obligation shall survive termination or completion of the Work for a period of three (3) years.

Indemnification & Insurance

Contractor agrees to maintain commercial general liability insurance and workers' compensation as required by law. Contractor shall indemnify and hold harmless Client from claims arising out of Contractor's negligent performance of the Work, except to the extent caused by Client's negligence or willful misconduct.

Governing Law

This Proposal and any resulting agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Proposal, together with any attachments, scope documents, and signed change orders, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior negotiations, representations and proposals, whether written or oral. Any modification must be in writing and signed by both parties.
