ROOFING SHINGLE SELECTION

WHEREAS

WHEREAS, Contractor Name: is engaged in the business of roofing installation and related services; and

WHEREAS, Client Name: owns or controls the property located at Project Address: (the "Property"); and

WHEREAS, the parties desire to document the Client's selection of roofing shingle products, color and accessory options for the roof replacement or installation described herein and to set forth related terms and conditions.

SCOPE OF WORK

The Contractor shall supply and install the roofing shingles, underlayment and accessories selected above at the Property. Work includes removal and lawful disposal of existing roofing materials unless otherwise agreed, installation of new decking repairs only as authorized in writing, installation of selected underlayment, flashing, ventilation and accessories, and a final cleanup of the site.

PAYMENT TERMS

Client agrees to pay Contractor the Total Contract Amount below in accordance with the schedule set forth. Contractor shall not commence work beyond mobilization until the initial deposit is received as specified.

Unpaid invoices are subject to a late fee of and interest at the maximum rate permitted by law. Client shall also be responsible for collection costs, including reasonable attorney fees and court costs, for overdue amounts.

TERM AND TERMINATION

Work is scheduled to commence on Start Date: and is estimated to be completed by Estimated Completion Date: . Time estimates are approximate and may be impacted by weather, material availability, and other conditions beyond Contractor's control.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within Cure Period (days): days after written notice. Termination by Client after materials have been ordered or work begun may obligate Client to reimburse Contractor for costs incurred, including but not limited to materials, labor and restocking fees.

CONFIDENTIALITY

Each party shall treat as confidential all technical, commercial and financial information disclosed by the other party that is marked or otherwise identified as confidential or that reasonably should be understood to be confidential, including but not limited to pricing, proprietary installation methods and client lists. Confidential information shall not include information that is or becomes publicly available through no fault of the receiving party, is rightfully received from a third party without restriction, or is independently developed. The obligations of this Section shall survive termination of this Agreement for a period of two (2) years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute arising under this Agreement shall be in the state or federal courts located in the county where the Property is located.

ENTIRE AGREEMENT

This document, together with any appendices and signed selection pages, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior oral or written agreements. Any modification to this Agreement must be in writing and signed by both parties. If any provision of this Agreement is determined to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.

ACKNOWLEDGEMENTS

Client acknowledges that shingle color and shading may vary by production run and that final installed appearance may differ from sample swatches. Client accepts responsibility for initial selection and acknowledges that Contractor is not responsible for color variation not visible in the sample provided.
