Use, Services and Responsibilities

Rooms shall be used solely for lodging by registered guests associated with the Lessee's group. Lessee is responsible for payment of any group function space, food and beverage, audio/visual, or special services agreed in writing. Lessee is responsible for all damage to rooms or property caused by its attendees.

Insurance, Indemnity, and Liability

Lessee shall maintain at its expense commercial general liability insurance covering premises, personal injury and property damage with limits not less than , naming Lessor as an additional insured when required. Lessee shall indemnify, defend and hold Lessor harmless from and against any claims arising out of Lessee's use of the rooms or the property, except to the extent caused by Lessor's gross negligence or willful misconduct.

Compliance and Accessibility

Lessee and its attendees shall comply with all applicable laws, ordinances, and facility rules. Lessor represents that the Property will comply with applicable accessibility requirements; Lessee is responsible for special accommodations requested for attendees beyond standard accessible rooms and common areas.

Default, Remedies and Termination

If either party materially breaches this Agreement and fails to cure within ten (10) days after written notice (or such shorter period if required to prevent imminent harm), the non-breaching party may terminate this Agreement and pursue all remedies available at law or in equity, including recovery of unpaid amounts, damages, and costs of collection.

Force Majeure

Neither party shall be liable for delay or failure to perform to the extent caused by events beyond reasonable control, including acts of God, government action, labor disputes, epidemics, or other force majeure events. The affected party must provide prompt written notice and make reasonable efforts to mitigate.
