WHEREAS, the parties desire to set forth the scope of services, payment terms, and contractual terms governing the room check and any associated work.

PAYMENT TERMS

All amounts are payable in U.S. dollars. Client shall pay undisputed sums in accordance with the agreed schedule. Late payments shall accrue the stated late fee and Inspector may suspend services after providing written notice and a reasonable cure period.

TERM AND TERMINATION

This Agreement commences on: and continues until: unless earlier terminated as provided herein.

Either party may terminate for convenience by giving the other party the notice period above. Termination for cause may be immediate where a material breach remains uncured after a reasonable cure period. Upon termination, Client shall pay Inspector for all services rendered and reimbursable expenditures through the effective date of termination.

CONFIDENTIALITY

Each party shall hold confidential and not disclose to any third party any non-public business or technical information obtained in the course of performance, except as required by law. Confidential information does not include information that becomes publicly known through no wrongful act of the receiving party or is rightfully received from a third party without restriction.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This document, together with any written attachments or duly executed change orders, constitutes the entire agreement between the parties with respect to the room check services and supersedes all prior negotiations, representations, or agreements, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

ADDITIONAL AUTHORIZATIONS

Client authorizes Inspector to photograph the room for documentation. Photographs and reports produced in performance of this Agreement are the property of Client, except where third-party rights apply.
