ROOM SPRAY ORDER FORM AND SUPPLY AGREEMENT

This Room Spray Order Form and Supply Agreement (the "Agreement") is entered into between the parties identified below for the manufacture, sale and purchase of room spray products on the terms set forth herein.

WHEREAS

WHEREAS, Supplier provides fragranced room spray products, packaging and related manufacture services; and

WHEREAS, Purchaser desires to place an order for room spray products under the terms and conditions set forth in this Agreement and Supplier is willing to accept such order and deliver the products; and

WHEREAS, the parties intend for this form and the attached order details to constitute the full agreement between them for the purchase and supply of the specified room spray products.

ORDER INFORMATION

SCOPE OF WORK

Supplier will manufacture, bottle, label and ship room spray products in accordance with the product specifications and quantities set forth herein. Supplier will comply with standard manufacturing practices and applicable safety and labeling requirements as required by applicable law.

PRODUCT ORDER (ITEMS)

PAYMENT TERMS

Purchaser shall pay Supplier the amounts set forth below in accordance with the schedule. All amounts are in the currency specified on the invoice and are exclusive of taxes unless otherwise stated.

Late payments shall accrue interest at the lesser of: (a) the rate of per month on outstanding balances; or (b) the maximum rate permitted by applicable law. In addition, a late payment administrative fee of may apply.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the completion of the order or the End Date, unless earlier terminated pursuant to this Agreement.

Either party may terminate this Agreement for material breach if the breaching party fails to cure such breach within the notice period specified above following written notice. Termination does not relieve Purchaser of payment obligations for goods delivered or for work performed prior to termination.

CONFIDENTIALITY

The parties acknowledge that each may disclose confidential information related to formulations, pricing, packaging and business operations. Each party agrees to hold disclosed confidential information in strict confidence, to use it only for performance under this Agreement, and not to disclose it to third parties except as required by law or with prior written consent. This obligation survives termination for a period of three (3) years.

DELIVERY, INSPECTION AND RETURNS

Delivery terms are FOB Supplier facility unless otherwise agreed. Purchaser must inspect deliveries promptly and notify Supplier in writing of any nonconforming products within seven (7) business days of receipt. Subject to verification by Supplier, Supplier’s sole obligation for verified nonconforming goods will be replacement or credit at Supplier’s option. Returns require prior written authorization.

WARRANTY AND LIMITATION OF LIABILITY

Supplier warrants that products will conform to the agreed product specifications at delivery. EXCEPT FOR THE FOREGOING, SUPPLIER DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED. IN NO EVENT WILL SUPPLIER BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES. SUPPLIER’S AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY PURCHASER FOR THE APPLICABLE ORDER.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction specified below without regard to conflict of laws principles.

ENTIRE AGREEMENT

This document, together with any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, proposals, and communications, whether written or oral. Any modifications must be in writing and signed by authorized representatives of both parties.

By signing below, each party represents that it has the full power and authority to enter into this Agreement, that the person signing has been authorized to bind the party, and that the party agrees to be bound by the terms set forth herein.
