WHEREAS, Operator owns or controls access to the room and golf simulator equipment located at the facility identified below and offers controlled time-based access for practice, instruction, and events; and

NOW, THEREFORE, in consideration of the mutual covenants and conditions contained herein, the parties agree as follows.

Either party may terminate this Agreement for material breach following written notice and a day cure period. Operator may immediately terminate access for safety violations or unlawful conduct.

Cancellation and Rescheduling

Cancellation by User must be provided in writing at least days prior to the scheduled start to avoid forfeiture of deposit. If User cancels less than the required notice, User shall pay a cancellation fee equal to .

Insurance, Indemnity and Liability

Insurance: User shall maintain general liability insurance covering their use of the facility with minimum limits of and shall provide proof of insurance upon Operator's request. Operator recommends but does not require personal injury coverage for participants.

Indemnification: User shall indemnify, defend, and hold harmless Operator, its owners, employees and agents from and against any and all claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of User's use of the room, the simulator, or User's breach of this Agreement, except to the extent caused by Operator's gross negligence or willful misconduct.

Damage, Repairs and Security Deposit

User is responsible for any damage to Operator's property arising from User's use. Operator may use the security deposit to repair damage or to satisfy unpaid amounts. Any remaining deposit shall be returned to User within days after the date of termination.

Confidentiality

Each party agrees that all non-public business information disclosed in connection with this Agreement that is identified as confidential or that reasonably should be understood to be confidential shall be held in confidence and shall not be disclosed to third parties except as required by law or with the disclosing party's prior written consent. This obligation survives termination of this Agreement for a period of two (2) years.

User shall comply with all applicable laws, ordinances, and Operator's facility rules. User shall ensure all participants follow safety instructions provided by Operator and not engage in conduct that endangers persons or property.

Governing Law
