ROYALTY PAYMENT AGREEMENT

This Royalty Payment Agreement (the Agreement) is entered into as of between:

Recitals and Definitions

WHEREAS, Licensor owns certain rights in the Works identified in the Royalty Schedule and desires to grant Licensee a license to exploit such Works on the terms set forth below; and WHEREAS, Licensee desires to obtain such rights and to pay royalties as provided herein.

For purposes of this Agreement, "Works" means the items, products, recordings, or compositions described in the Royalty Schedule and any derivatives thereto. "Net Receipts" means gross amounts actually received by Licensee from exploitation of the Works less only the following deductions: customary returns, sales taxes, and direct transaction processing fees.

Payment and Reporting

Royalties shall be calculated for each Reporting Period and paid to Licensor within days after the end of each Reporting Period. Reporting Period:

Audit and Records

Licensee shall keep complete and accurate books and records regarding sales, exploitation and payments of the Works for a period of not less than years. Licensor shall have the right, at Licensor's expense (except where an underpayment of more than % is discovered), to audit such records upon at least days' prior written notice during normal business hours.

Taxes, Withholding & Payments

Each Party shall be responsible for its own taxes arising from payments made hereunder. Licensee may withhold amounts required by applicable law and shall provide Licensor with documentation evidencing such withholding within thirty (30) days of payment.

Late Payment; Remedies

Any royalty not paid when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum permitted by law. Licensor's remedies for breach include injunctive relief, accountings, and recovery of unpaid royalties, interest and reasonable costs of collection, including attorneys' fees.

Term and Termination

Term: This Agreement shall commence on the Effective Date and continue for years, unless earlier terminated as provided herein. Either party may terminate for material breach if the breaching party fails to cure within days of written notice.

Warranties, Indemnities and Limitations

Licensor represents and warrants that Licensor has the right to grant the rights granted herein and that to Licensor's knowledge the use of the Works in accordance with this Agreement will not infringe third-party rights. Each party shall indemnify and hold harmless the other from and against third-party claims arising from breach of representations, willful misconduct, or gross negligence. Except for willful misconduct, neither party shall be liable for incidental or consequential damages.

Confidentiality

The Parties agree that financial terms, royalty statements, and non-public business information disclosed under this Agreement are confidential and shall not be disclosed to third parties except as required by law or with the other Party's prior written consent.

Notices

All notices required or permitted hereunder shall be in writing and delivered to the addresses set forth below (or such other address as a Party designates by written notice).

Miscellaneous

This Agreement constitutes the entire agreement between the Parties with respect to its subject matter and supersedes all prior agreements. Neither Party may assign this Agreement without the prior written consent of the other, except that a Party may assign to an affiliate or in connection with a merger or sale of substantially all assets.
