RSPA Service Agreement

This RSPA Service Agreement ("Agreement") is made and entered into as of Effective Date: by and between Service Provider: (Entity Type: ), with principal place of business at ; and Client: (Entity Type: ), with principal place of business at . Service Provider and Client are each a Party and collectively the Parties.

RECITALS

WHEREAS, Provider is engaged in the business of providing the professional services described herein and has the experience and capability to render such services; and

WHEREAS, Client desires to retain Provider to perform the services detailed in this Agreement and Provider is willing to perform such services on the terms and conditions set forth below.

WHEREAS, the Parties intend for this Agreement to set forth the complete understanding between them with respect to the subject matter hereof.

NOW THEREFORE, in consideration of the mutual promises set forth herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the services to be performed by Provider as described in the Statement of Work attached hereto or described below. 1.2 "Deliverables" means any tangible or intangible work product delivered to Client under this Agreement. 1.3 Other capitalized terms used in this Agreement shall have the meanings assigned to them in this Agreement or as otherwise agreed in writing by the Parties.

2. SCOPE OF SERVICES

Provider shall perform the following services for Client:

Provider shall provide qualified personnel, equipment, and supervision as required to perform the Services in a professional and workmanlike manner consistent with industry standards.

3. TERM

This Agreement shall commence on Start Date: and continue until End Date: unless earlier terminated in accordance with Section 11 below.

4. COMPENSATION AND EXPENSES

4.1 Fees. Client shall pay Provider the fees set forth below for the Services. The Fee structure shall be:

4.2 Expenses. Client shall reimburse Provider for reasonable, pre-approved out-of-pocket expenses incurred in connection with the Services upon submission of itemized documentation.

5. INVOICING AND PAYMENT

Provider shall submit invoices to Client in accordance with the invoicing intervals specified above. Unless otherwise agreed in writing, Client shall pay all undisputed invoices within days of receipt. Late payments shall accrue interest at the lesser of 1.5% per month or the maximum rate permitted by law.

6. CONFIDENTIALITY

6.1 Each Party agrees to hold in confidence and not disclose to any third party Confidential Information of the other Party. "Confidential Information" includes non-public technical, financial and business information disclosed by one Party to the other.

6.2 The receiving Party shall use Confidential Information only to perform its obligations under this Agreement and shall protect such Confidential Information with the same degree of care it uses to protect its own confidential information, but in no event less than a reasonable degree of care.

6.3 The obligations in this Section shall survive termination of this Agreement for a period of years.

7. INTELLECTUAL PROPERTY

7.1 Unless otherwise agreed in writing, Provider grants to Client a non-exclusive, non-transferable license to use Deliverables for Client's internal business purposes. Provider retains ownership of Provider's pre-existing materials, tools, methodologies, and know-how.

7.2 To the extent any Deliverable is intended to be owned by Client, Provider shall assign and hereby assigns to Client all right, title and interest in such Deliverables upon full payment of all fees due for such Deliverables.

8. REPRESENTATIONS AND WARRANTIES

Provider represents and warrants that (a) it has the full right and authority to enter into this Agreement; (b) the Services will be performed in a professional and workmanlike manner consistent with industry standards; and (c) to Provider's knowledge, the Deliverables do not infringe the intellectual property rights of any third party. EXCEPT AS SET FORTH IN THIS SECTION, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

9. LIMITATION OF LIABILITY

9.1 Except for liability arising from gross negligence, willful misconduct, or a breach of confidentiality or intellectual property obligations, in no event shall either Party be liable for incidental, consequential, special, punitive, or exemplary damages.

9.2 The aggregate liability of Provider for any claim arising out of or related to this Agreement shall not exceed the total fees paid by Client to Provider under this Agreement during the twelve (12) month period preceding the act giving rise to the claim.

10. INDEMNIFICATION

10.1 Provider shall indemnify, defend and hold harmless Client and its officers, directors and agents from and against any third party claims arising out of Provider's negligence, willful misconduct or material breach of this Agreement.

10.2 Client shall indemnify, defend and hold harmless Provider from and against any third party claims arising from Client's misuse of the Deliverables or Client's breach of this Agreement.

11. TERMINATION

11.1 Either Party may terminate this Agreement for material breach by the other Party if the breach remains uncured thirty (30) days after written notice specifying the breach. 11.2 Either Party may terminate for convenience upon days' prior written notice to the other Party.

Upon termination, Client shall pay Provider for Services performed and expenses incurred through the effective date of termination and Provider shall deliver any completed or partially completed Deliverables to Client upon receipt of such payment.

12. INSURANCE

Provider shall maintain and carry commercial general liability insurance and, where applicable, professional liability insurance in amounts not less than per occurrence and aggregate, or such greater limits as may be reasonably required by Client.

13. NOTICES

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below (or such other address as a Party may designate by notice in accordance with this Section) by hand delivery, nationally recognized overnight courier, or certified mail, return receipt requested.

14. AMENDMENTS; WAIVER

No amendment, modification, or waiver of any provision of this Agreement shall be effective unless in writing and signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right shall operate as a waiver of that right.

15. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to principles of conflicts of law.

16. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

16.1 Entire Agreement. This Agreement, together with any exhibits or statements of work attached hereto, constitutes the entire agreement between the Parties and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter hereof.

16.2 Severability. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed and the remainder of this Agreement shall remain in full force and effect.

16.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be an original, and all of which together shall constitute one and the same instrument. Facsimile or electronic signatures shall be binding for all purposes.
