RSU Grant Agreement

Parties

Recitals and Grant

This Restricted Stock Unit Grant Agreement (the Agreement) is made as of (Grant Date) by and between the Company and the Grantee identified above. Pursuant to the Company's equity incentive plan and the terms set forth below, the Company hereby grants to the Grantee restricted stock unit(s) ("RSUs") designated by Grant ID: .

Definitions

"Vesting Date" means the date on which RSUs become vested in accordance with the Vesting Schedule below. "Settlement" means issuance of Shares or cash in satisfaction of vested RSUs as provided in Section Settlement. "Cause" and "Good Reason" have the meanings set forth in the Company's standard definitions as applied to equity awards and employment separation.

Vesting Schedule

The RSUs shall vest according to the following schedule, subject to the Grantee's continued service and satisfaction of any specified conditions. Vesting is measured by the Vesting Date in the table below.

Vesting Date Units Vesting Condition

Settlement

Upon each Vesting Date, each vested RSU shall be settled by issuance of one share of the Company's common stock unless the Company elects, in its sole discretion, to settle in cash. The parties agree that settlement will be governed by the following selection(s):

Forfeiture; Termination of Service

Except as otherwise provided in this Agreement or by written action of the Board, unvested RSUs shall be forfeited upon the Grantee's termination of service. For avoidance of doubt, if the Grantee's service terminates for Cause, all unvested RSUs shall be forfeited immediately. If termination occurs by reason of death or disability, vested but unsettled RSUs shall be settled in accordance with the Settlement provisions within the time required by applicable law.

Change in Control

In the event of a Change in Control, the RSUs shall be subject to the Company's standard acceleration policy as in effect on the Grant Date unless the Company specifies an alternative treatment in writing. Acceleration terms (if any) are indicated here:

Tax Withholding and Compliance

The Grantee acknowledges that the Company shall have the right to deduct or withhold from any payment or other amounts payable to the Grantee all applicable taxes required by law. The Grantee agrees to timely furnish any information the Company deems necessary to satisfy tax reporting or withholding obligations.

Transferability and Legends

RSUs are not transferable except by will or by the laws of descent and distribution, and are subject to forfeiture and other restrictions specified herein. Any shares issued upon settlement shall bear such legends as the Company reasonably determines to reflect restrictions on transfer and compliance with securities laws.

Representations; Tax Acknowledgment

The Grantee represents and warrants that the Grantee has reviewed the terms of this Agreement and has had the opportunity to obtain independent tax and legal advice. The Grantee acknowledges that the tax consequences of settlement may be significant and that the Company makes no representation to the Grantee regarding the tax consequences.

Notices

Notices required under this Agreement shall be delivered to the addresses set forth below or to such other addresses as either party may designate in writing.

Amendment; Governing Law

This Agreement may be amended only by an instrument in writing signed by both the Company and the Grantee, except that the Board may amend the mechanical terms of the grant to comply with applicable securities laws or the equity plan. This Agreement shall be governed by and construed in accordance with the laws of the state specified below.

Additional Terms

Acceptance and Acknowledgment

By signing below, the Grantee accepts and agrees to the terms and conditions of this Agreement and acknowledges receipt of a copy of the equity incentive plan under which this grant is made. The Grantee further acknowledges that the RSUs and any Shares issued upon settlement are subject to the terms of such plan.

What an RSU Grant Agreement Is and when it applies

A Restricted Stock Unit (RSU) Grant Agreement is a legally binding contract between an employer and an employee or service provider that specifies the award of RSUs, the vesting schedule, conditions for settlement, tax obligations, and rights before and after vesting. It records the number of RSUs granted, the grant date, vesting triggers (time-based, performance-based, or both), and any acceleration events. Employers use RSU agreements to align recipient incentives with company performance and to create retention incentives; recipients acquire enforceable rights to future stock or cash subject to the agreement terms.

Why an RSU Grant Agreement matters for employers and recipients

An RSU Grant Agreement clarifies ownership expectations, tax treatment, and vesting conditions while creating an enforceable record of the award. Properly executed agreements reduce disputes, support internal controls, and provide clear evidence for tax reporting and securities compliance under U.S. law.

Why an RSU Grant Agreement matters for employers and recipients

Who typically prepares and signs RSU Grant Agreements

Employers issue RSU Grant Agreements through HR, compensation, or legal teams; recipients include employees, consultants, and directors who accept equity awards.

  • Public company compensation teams managing equity plans and SEC disclosures.
  • Private company founders and HR leaders using equity to retain employees.
  • Employees and service providers receiving awards and confirming tax elections.

Each party should confirm signatory authority, the grant's effective date, and how settlement and tax withholding will be handled before signing.

Typical signer roles and responsibilities

Company Officer

Chief People Officer or General Counsel usually authorizes RSU grants, signs on behalf of the company, and ensures plan compliance and board approval where required. They coordinate securities counsel, tax reporting, and any corporate approvals.

Employee Recipient

The named grantee verifies personal information, accepts the award by signature (electronic or physical), and completes any required tax elections. The recipient is responsible for providing correct taxpayer identification information for reporting and withholding.

Core provisions commonly found in a professional RSU Grant Agreement

A complete RSU Grant Agreement contains provisions that define the award, vesting conditions, settlement mechanics, tax treatment, and post-termination rights in clear, unambiguous language.

Grant Description

Specifies total RSUs granted, grant date, and grant identifier. This clause ties the award to the company equity plan and clarifies whether settlement is by shares or cash value.

Vesting Schedule

Defines time-based or performance-based vesting events, cliff provisions, and vesting dates. Precise triggers avoid later disputes about when the grantee earns the award.

Acceleration Terms

Describes any scenarios that accelerate vesting, such as change in control, termination without cause, or death or disability. Acceleration clauses often require board-level approval.

Settlement Mechanics

Explains how vested RSUs convert to shares or cash, timing of settlement, share delivery conditions, and any restrictions on transfer or sale upon settlement.

Tax Withholding

States employer withholding rights at settlement, describes withholding methods (share withholding, cash), and references applicable tax reporting obligations.

Rights and Restrictions

Specifies voting rights, dividend equivalents, and transfer restrictions before and after vesting, plus forfeiture conditions for termination or breach.

Essential data fields to include in every RSU Grant Agreement

Grantee Name: Full legal name
Tax ID: SSN or TIN (last 4 acceptable in some workflows)
Grant Date: MM/DD/YYYY
RSU Amount: Number of units
Vesting Terms: Schedule reference

Gather Information: Collect grantee ID, tax info, and board authorization.
  • 02
Draft Agreement: Populate the template with grant details and plan references.
  • 03
Legal Review: Confirm securities, tax, and employment implications.

Configuring an online RSU signing workflow

When using an eSignature platform, set fields, authentication, and storage policies to match corporate controls and audit requirements.

Field Configuration
Signature Type Electronic signature (ESIGN/UETA compliant)
Authentication Email link plus optional SMS code
Templates Use reusable template with conditional fields
Storage Encrypted, access-controlled repository

Technical considerations for digital signing and storage

Choose a platform that supports audit trails, secure storage, and required integrations for payroll and equity administration.

  • File Formats: PDF and DOCX supported
  • Integrations: Connects with HR/ERP systems
  • Security: TLS and AES-256 encryption

Ensure the chosen platform can export signed agreements and audit certificates and supports retention and eDiscovery requirements for compliance.

Where to send, file, and who receives final copies

Finalize distribution paths before signing to ensure payroll and equity ledgers update automatically and recipients receive certified copies.

  • Upload Document: Store master copy in secure repository
  • Assign Signers: Add company and grantee signer roles
  • Verify Identity: Use email OTP or stronger KBA if required
  • Distribute Copies: Send final executed PDF to payroll and grantee

Key dates and timing expectations for RSU processing

Track grant dates, acceptance windows, vesting milestones, and settlement dates to meet tax reporting and accounting deadlines.

Grant Date:

Establishes valuation and plan reference for accounting

Acceptance Window:

Employee typically signs within 30 days of grant

Vesting Dates:

Specified per schedule; affects entitlement

Settlement Date:

When shares or cash are delivered

Tax Reporting:

Employers report compensation on Form W-2 at settlement when applicable

Penalties and common legal risks to watch for

Incorrect TIN: Backup withholding may apply
Late Reporting: IRS penalties for late filings
Invalid Signature: Raises enforceability concerns
Misstated Vesting: Creates breach and litigation risk
Securities Noncompliance: May trigger SEC or state action
Data Breach: Privacy liability and remediation costs

Common mistakes when preparing RSU Grant Agreements

  • Using ambiguous vesting language that leads to multiple interpretations and post-termination disputes if triggers are not defined precisely.
  • Failing to verify recipient taxpayer identification, which can cause backup withholding and delay settlement or tax reporting.
  • Omitting company plan references or board approvals, leaving the grant unsupported by the controlling equity plan document.
  • Not specifying settlement mechanics or tax withholding method, which creates confusion at vesting and risks payroll errors.
