This Ruckus Renewal Agreement (the Agreement) is entered into as of by and between:

Recitals

WHEREAS, the parties previously entered into a written agreement titled dated (the Original Agreement); and

WHEREAS, the parties desire to renew and extend certain rights and obligations under the Original Agreement on the terms and conditions set forth herein; and

WHEREAS, consideration for this Renewal Agreement consists of the mutual promises, payments and other obligations set forth below, the receipt and sufficiency of which are acknowledged.

Scope of Work

The parties agree that the services, deliverables and responsibilities to be performed during the renewal term are as follows. Any additions or material changes to the Scope of Work must be agreed in writing and signed by authorized representatives of both parties.

Invoices are due within calendar days of receipt. Late payments shall incur interest at the lesser of per month or the maximum rate permitted by law.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure the breach within thirty (30) days after receipt of written notice specifying the breach. Termination does not relieve either party of obligations accrued prior to termination.

Confidentiality

Each party (Recipient) shall hold in confidence and shall not disclose to any third party any Confidential Information of the other party (Discloser). "Confidential Information" means non-public information disclosed in connection with this Agreement, whether oral, written or electronic, that is designated confidential or that reasonably should be understood to be confidential. Confidential Information excludes information that: (a) is or becomes generally available to the public other than by breach of this Agreement; (b) was in Recipient's possession prior to receipt from Discloser without restriction on use or disclosure; (c) is received from a third party without breach of any obligation of confidentiality; or (d) is independently developed without reference to Discloser's Confidential Information.

Recipient shall use Confidential Information solely to perform its obligations under this Agreement and shall take reasonable measures to protect such information, at least those measures it uses to protect its own confidential information of similar importance. Confidentiality obligations shall survive termination of this Agreement for years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of without regard to conflict of law principles. Exclusive venue for any disputes arising out of this Agreement shall be the state or federal courts located within that jurisdiction.

Entire Agreement

This Agreement, together with the Original Agreement as expressly amended herein and any exhibits or written amendments signed by authorized representatives of both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that either party may assign to an acquirer of substantially all of its business or assets without such consent. Notices shall be in writing and delivered to the addresses set by the parties in writing. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
