WHEREAS

WHEREAS, Service Provider is engaged in the business of supplying, installing, inspecting, testing, and maintaining residential and commercial smoke detection devices and associated services; and

WHEREAS, Client desires to retain Service Provider to perform inspection, installation, testing, or maintenance services for smoke detectors at the location identified below in accordance with the terms of this Agreement; and

WHEREAS, the parties acknowledge the safety limitations and statutory life-cycles of smoke detector devices and agree to specified responsibilities and acknowledgements set forth herein.

Either party may terminate this Agreement for convenience by providing written notice at least days prior to the intended termination date. Termination for cause may be immediate where a material breach remains uncured after ten (10) days' written notice.

CONFIDENTIALITY

Each party shall maintain in confidence and not disclose to any third party any non-public information provided by the other party in connection with performance under this Agreement, except to the extent disclosure is required by law or is necessary to perform the services. Confidential information does not include information which is or becomes generally available to the public through no fault of the receiving party.

SAFETY ACKNOWLEDGEMENT

Client acknowledges that smoke detectors, associated batteries, and monitoring systems have operational and lifespan limitations. Client further acknowledges the following (select all that apply and initial where required):

Client is responsible for routine battery replacement and testing between scheduled service visits.

Client understands that hardwired or sealed smoke detectors have recommended replacement intervals and that full functionality cannot be guaranteed beyond the manufacturer's recommended service life.

Client will not paint over detectors or obstruct sensing ports and will notify Service Provider of any alterations to detector locations.

Client accepts that testing may produce audible alarms and brief disruption and will advise occupants prior to testing.

LIABILITY, INDEMNIFICATION AND LIMITATION OF DAMAGES

Service Provider shall exercise reasonable care in performing services. Client agrees to indemnify and hold harmless Service Provider from claims arising from Client's negligence, alteration of installed equipment, failure to maintain devices, or misuse. Except for willful misconduct or gross negligence, Service Provider's aggregate liability under this Agreement shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any schedules and written attachments signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both parties.
