This Safety Inspection Checklist and Service Agreement (Agreement) is entered into between:

WHEREAS

WHEREAS, Client retains Inspector/Contractor to perform a safety inspection of the premises identified above and to prepare written findings and recommendations in accordance with the Scope of Work described herein; and

WHEREAS, Inspector/Contractor represents that it is qualified, trained and authorized to perform the inspection services, and shall conduct the inspection in a professional manner consistent with industry standards for similar facilities and operations; and

WHEREAS, the parties desire to document inspection findings, corrective actions and the contractual terms governing performance, compensation and confidentiality of information exchanged.

SCOPE OF WORK

Inspector/Contractor shall perform a visual and documentary inspection of the inspection location and shall identify hazards, code compliance issues, maintenance deficiencies and recommended corrective measures. The scope includes, at a minimum, the checklist items below and a written report summarizing findings and recommended corrective actions.

PAYMENT TERMS

Client shall pay Inspector/Contractor the fees set forth below for inspection services and report preparation. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Payment due within days of invoice. Late payments shall incur interest at on unpaid balances, plus reasonable collection costs.

TERM AND TERMINATION

This Agreement commences on the Start Date and continues until the End Date or until terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice. Termination for cause is permitted where a material breach is not cured within ten (10) days after written notice.

CONFIDENTIALITY

Inspector/Contractor shall treat all non-public information obtained from Client in connection with the inspection as confidential and shall not disclose such information to any third party except (i) as required by law, (ii) to inspectors or subcontractors bound by confidentiality obligations, or (iii) with Client's prior written consent. Confidential information does not include information that is or becomes publicly available through no fault of Inspector/Contractor.

Upon request, Inspector/Contractor will return or destroy confidential materials and certify such return or destruction in writing.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including the attached inspection checklist and any written scopes or addenda signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and representations, whether oral or written. Any modification to this Agreement must be in writing and signed by both parties.

CERTIFICATION

Inspector/Contractor certifies that the inspection was conducted in accordance with the Scope of Work and that the findings reported are, to the best of Inspector/Contractor's knowledge, accurate and complete as of the inspection date. Client acknowledges that the inspection is limited to visible and accessible conditions on the date of inspection and does not constitute a warranty of compliance or fitness beyond the scope expressly set forth.
