RECITALS

WHEREAS, Client operates the facility located at and requires the safe handling, storage, and use of nitrogen in gaseous and/or liquid form; and

WHEREAS, Contractor is engaged in providing nitrogen supply, related equipment, training, and safety oversight and represents that it maintains personnel, procedures, and equipment appropriate for nitrogen handling; and

WHEREAS, the parties desire to set forth responsibilities, safety procedures, payment, term, and other terms governing the supply and handling of nitrogen at the facility.

SCOPE OF WORK

SAFETY PROCEDURES

Either party may terminate this Agreement for cause upon material breach and failure to cure within days following written notice. For convenience, either party may terminate upon days prior written notice.

CONFIDENTIALITY

Each party shall treat as confidential all proprietary information disclosed in connection with this Agreement, including but not limited to technical procedures, hazard analyses, safety plans, and any operational data. Confidential information shall not be disclosed to third parties except as required for performance of this Agreement or as required by law. Confidential information shall be protected with at least the same degree of care that the receiving party uses to protect its own confidential information, but in no event less than reasonable care.

INDEMNIFICATION & LIABILITY

Contractor shall indemnify, defend, and hold Client harmless from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of Contractor's negligence, willful misconduct, or breach of this Agreement in connection with the handling, storage, or use of nitrogen. Client shall indemnify Contractor to the extent claims arise from Client's negligent acts or omissions. Neither party shall be liable for incidental or consequential damages except for damages arising from gross negligence or willful misconduct.

INSURANCE

COMPLIANCE WITH LAW

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its choice-of-law provisions.

ENTIRE AGREEMENT

This Agreement, together with any exhibits, attachments, and written amendments signed by both parties, constitutes the entire agreement between the parties relating to the subject matter herein and supersedes all prior discussions, proposals, and agreements, whether written or oral.

MISCELLANEOUS

Notices under this Agreement shall be in writing and delivered to the addresses provided by the parties. Any amendment or waiver must be in writing and signed by both parties. If any provision is held invalid, the remaining provisions shall remain in full force and effect.
