PAYMENT TERMS

Where a fee is charged for this toolbox talk or associated services, the parties agree as follows.

TERM AND TERMINATION

This Safety Toolbox Talk and any associated training services shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this agreement for material breach if the breaching party fails to cure such breach within the notice period specified above. Termination shall not relieve either party of obligations accrued prior to termination.

CONFIDENTIALITY

For the purposes of this agreement, "Confidential Information" includes nonpublic information disclosed in connection with the toolbox talk, including safety procedures, incident details, corrective action plans, and any proprietary training materials. Each party shall: (a) hold Confidential Information in strict confidence; (b) not disclose such information to any third party except to those employees or contractors with a need to know in furtherance of the agreed services; and (c) use Confidential Information only for the purposes contemplated by this toolbox talk. Confidentiality obligations do not extend to information that is or becomes publicly available through no fault of the receiving party or that is required to be disclosed by law, in which case the disclosing party shall provide prompt written notice.

GOVERNING LAW

This Safety Toolbox Talk and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the jurisdiction selected by the parties. The parties agree to submit to the exclusive jurisdiction of the courts of that jurisdiction for resolution of disputes.

ENTIRE AGREEMENT

This document, together with any referenced attachments or schedules signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any amendment or modification must be in writing and signed by both parties.
