What a Sailing Services Contract Covers

A Sailing Services Contract is a written agreement that defines the rights, responsibilities, and liabilities between a vessel owner or operator and a client for charter, crewed services, maintenance, or instruction. It typically sets out the scope of services, schedule, payment terms, insurance and indemnification, safety and compliance obligations, cancellation and weather policies, and dispute resolution. For U.S. transactions the contract should also address applicable maritime and state laws, required certifications, and whether electronic signatures are acceptable under the ESIGN Act and applicable state UETA or ESRA provisions.

Why a Clear Contract Matters

A clear Sailing Services Contract reduces disputes, allocates risk, and documents insurance and safety obligations. When properly executed it supports claims handling, clarifies payment and cancellation mechanics, and enables efficient remote signing under U.S. e‑signature laws.

Why a Clear Contract Matters

Who Typically Prepares and Signs This Contract

Typical users include vessel owners, charter brokers, captains, maintenance providers, and marina operators coordinating crewed or bareboat services.

  • Vessel owners: define availability, maintenance obligations, and insurance coverage during charters.
  • Charterers/clients: clarify payment schedule, cancellation policy, and skipper or crew responsibilities.
  • Marinas and service providers: set access, storage, and liability rules for on‑site services.

The document is also used by insurers, port authorities, and agents who need written confirmation of responsibilities and coverage before embarkation.

Core Clauses and Exhibits to Include

Essential clauses and supporting exhibits that make a Sailing Services Contract enforceable, operationally effective, and clear on responsibilities, payments, safety, and dispute resolution.

Scope

Payment

Specify total fees, deposit, payment schedule, acceptable methods, taxes, port and fuel charges, and consequences of late or missed payments.

Insurance

Require proof of insurance with carriers, policy numbers, minimum limits, additional insureds, and procedures for claims and subrogation.

Safety

Assign responsibility for safety equipment, compliance with USCG and state regulations, required certifications for crew, and onboard emergency procedures.

Cancellation

Define cancellation windows, refund calculations, force majeure including weather advisories, rescheduling rights, and cancellation fees.

Dispute Resolution

State governing law, venue or arbitration terms, notice and cure periods, and allocation of attorney fees for enforcement.
