5. Interest, Late Payment, and Default

Interest will accrue on outstanding principal at the annual rate specified above, calculated on a simple interest basis from the disbursement date. Late payments shall incur a late fee equal to after a grace period of days. Upon default (including termination of employment, bankruptcy, or two consecutive missed payments), Employer may accelerate the loan, require immediate payment of all amounts due, and pursue available remedies.

6. Security; Withholding Authorization

To secure repayment, Employee authorizes Employer to withhold amounts from Employee's compensation in accordance with applicable law, consistent with the repayment schedule above. If collateral is required, it is described below.

7. Taxes and Withholdings

All payments under this Agreement are subject to applicable federal, state and local taxes and required withholdings. Employer will withhold taxes and report payments as required by law. Employee is responsible for any tax consequences resulting from the loan or its forgiveness, and agrees to indemnify Employer for taxes, penalties or interest arising from Employee's failure to pay taxes attributable to this Agreement.

8. Representations, Covenants and Remedies

Each party represents that it has the full power and authority to enter into this Agreement. Employee covenants to notify Employer promptly of any change in employment status, residence, or financial condition that may affect repayment. Remedies provided herein are cumulative and in addition to any other remedies available at law or equity.

9. Notices

All notices required under this Agreement shall be in writing and delivered to the addresses below by certified mail, personal delivery, or other agreed method and shall be effective upon receipt.

10. Governing Law; Miscellaneous

This Agreement shall be governed by and construed in accordance with the laws of the state specified for governing law: , without giving effect to conflict of laws rules. If any provision is held invalid, the remaining provisions shall remain in full force.
